BETA AGREEMENT
<br /> This Beta Agreement("Agreement")is made and entered into this day of ile.iT ,20 27'
<br /> (the "Effective Date") by and between CivicPlus, LLC, a Kansas limited liability company having its
<br /> princi al place of business at 302 S. Fourth Street, Suite 500, Manhattan, Kansas, 66502 ("CivicPlus")
<br /> and of.E/EVerT , a , whose principal mailing address is
<br /> 2/130 VVJ DUE AVE- - (the "Participant").

<br /> WHEREAS,Participant is a current of CivicPlus's services and currently has an engagement
<br /> solution being supported by CivicPlus and Participant desires to participate in, and obtain the benefit of,
<br /> CivicPlus Portal, a portal for public users/citizens to log in and access their local government services,
<br /> including any and all materials and/or services included;
<br /> WHEREAS, CivicPlus wishes to obtain the benefit of Participant's feedback and reports as a beta
<br /> tester of the Services, including any and all materials and/or services included;
<br /> NOW,THEREFORE,in consideration of the promises,mutual covenants and agreements set forth
<br /> in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are
<br /> hereby acknowledged,the parties agree as follows:
<br /> 1. Beta Software Project.
<br /> CivicPlus is working to provide Participant, as a beta user, the Services. Participant
<br /> understands and agrees that CivicPlus will be using Participant's feedback in its development of the
<br /> Services as part of the CivicPlus suite of services offered to all customers.
<br /> CivicPlus, its sole discretion, but upon reasonable notice given and discussion with
<br /> Participant, may alter or replace the Services with alternative functionality,to meet and/or to address the
<br /> needs, requirements, or unexpected matters which customers will use the Services for.
<br /> 2. Confidential Information.
<br /> a. "Confidential Information" means all information, whether written or oral, and in
<br /> any form (including, without limitation, the CivicPlus proprietary software (in source or object code),
<br /> engineering documents,manuals,reports, designs, drawings,plans, flowcharts,program listings, data file
<br /> printouts, processes, component part listings and prices, product information, new product plans, sales
<br /> and marketing plans and/or programs, and pricing information) relating to the Services, or any feedback
<br /> provided by Participant.
<br /> b. Participant acknowledges that as a beta Participant,Participant may have access to,
<br /> and CivicPlus may disclose to Participant, certain Confidential Information as described in this Section 2.
<br /> Participant agrees that it will at all times hold in strict confidence and not disclose Confidential
<br /> Information to any third party except as approved in writing by CivicPlus and will not to use such
<br /> Confidential Information for its own benefit or for the benefit of third parties, except as provided within
<br /> the scope of this Agreement and any associated proposal, master services agreement and/or statement of
<br /> work entered into and mutually agreed to by the parties (the "Engagement Documents").
