C <br /> 6. No Rights Granted. <br /> This Agreement does not constitute a grant or an intention to commitment to grant any right, title <br /> or interest in any Proprietary Property or CivicPlus' trade secrets to Participant. Participant may not sell <br /> or transfer any portion of the Services to any third party or use the Services in any manner to produce, <br /> market or support its own products. Participant shall not identify any Confidential Information as coming <br /> from any source other than CivicPlus. <br /> 7. Term and Termination. <br /> a. The term of this Agreement shall begin at signing and shall continue until the date <br /> CivicPlus commercially markets and sells the Services (the"Term"). <br /> b. Either party may terminate this Agreement for any reason upon giving the other <br /> party 30 days prior written notice. <br /> 8. Limitation of Liability. <br /> CivicPlus shall not be responsible for any loss or damage to Participant or any third parties caused <br /> by the use of and access to the Services, except to the extent due to the negligence of CivicPlus, or its <br /> employees, agents or officials. <br /> 9. Miscellaneous. <br /> a. Waiver. A waiver of any default hereunder or of any of the terms and conditions <br /> of this Agreement shall not be deemed to be a continuing waiver or a waiver of any other default or of any <br /> other term or condition but shall apply solely to the instance to which such waiver is directed. <br /> b. Severability. If any part of this Agreement shall be invalid or unenforceable, such <br /> invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision <br /> of this Agreement which shall remain in full force and effect. <br /> c. Assignment. The rights and obligations of either Party shall not be transferable <br /> without the prior written consent of the other Party, which consent shall not be unreasonably withheld or <br /> delayed. All obligations of the Parties herein shall be binding upon their respective successors or assigns. <br /> d. Governing Law. This Agreement shall be governed by the laws of the State of <br /> Kansas in which CivicPlus is organized, excluding any such laws that might direct the application of the <br /> laws of another jurisdiction. The federal or state courts located in Riley County in the State of Kansas <br /> shall have exclusive jurisdiction to hear any dispute under this Agreement. <br /> 10. Washington Public Records Act. CivicPlus acknowledges that the Participant is subject <br /> to the Washington Public Records Act, chapter 42.56 RCW and other Washington statutes related to open <br /> government (collectively, the "Act"). If the Participant receives a records request under the Act that <br /> requests any Confidential Information, then the Participant shall give reasonable written notice to <br /> CivicPlus. The Participant has no obligation to provide such notice for anything that is not Confidential <br /> Records. If CivicPlus desires that the Confidential Records not be disclosed, CivicPlus shall commence <br /> an action in Snohomish County Superior Court before the disclosure date. Notwithstanding anything to <br /> the contrary in the Agreement, the Participant has no liability whatsoever to CivicPlus for the disclosure <br /> of any record when that disclosure is consistent with the Act or with an order applying the Act entered by <br /> the Snohomish County Superior Court or a Washington appellate court. Notwithstanding anything to the <br /> contrary in this Agreement, any dispute between the parties concerning the Act will be decided by <br /> Snohomish County Superior Court applying the law of Washington. <br /> 3 <br />
