<br /> c)WSHCT will ensure that each participant using the Products is age 13 or

<br /> d)WSHCT will document any incidents of concern involving participants
<br /> using the Products, and will promptly send such information to Oculus by
<br /> submitting a report at support.oculus.com.
<br /> e)WSHCT will not remove,alter,or obscure any warnings,disclaimers,
<br /> notices or other information, device, or software embedded in,or provided
<br /> with,the Products.
<br /> f)WSHCT shall be responsible for any property damage or injury that may
<br /> occur in connection with the Purpose,unless the damage or injury is caused
<br /> solely by the negligence of Oculus.
<br /> Marketing and
<br /> Publicity: Oculus hereby grants WSHCT a limited,non-exclusive,revocable,royalty-free
<br /> right to use the Oculus name,logos,and trademarks(collectively,"Oculus
<br /> Trademarks")solely to describe that WSHCT is using the Products in
<br /> connection with the Purpose,and unless pre-approved by Oculus,WSHCT
<br /> shall not:(a)use any Oculus Trademarks in any manner to communicate or
<br /> suggest any affiliation,sponsorship,or other connection between Oculus and
<br /> WSHCT or the Purpose,or(b)take any action that may harm or adversely
<br /> affect the Oculus Trademarks or the goodwill associated with the Oculus
<br /> Trademarks.WSHCT further agree that they will not issue any public
<br /> announcements or press releases regarding this donation or the program
<br /> without the consent of Oculus.All marketing and promotional messaging and
<br /> materials used by WSHCT containing Oculus Trademarks shall be subject to
<br /> Oculus's prior written approval.Oculus reserves all rights in and to the
<br /> Trademarks and the goodwill associated therewith.WSHCT shall not acquire,
<br /> directly or by implication,any rights or license in the Oculus Trademarks
<br /> except as expressly provided,We may both mutually disclose and use the
<br /> trademarks of the other for the sole purpose to describe that WSHCT is using
<br /> the Products in connection with the Purpose,but agree not to issue any public
<br /> announcements,statements,or press releases regarding this donation,letter
<br /> agreement, or Oculus' involvement with the Purpose without Oculus' prior
<br /> approval.
<br /> Indemnification; WSHCT hereby agrees to indemnify,holds harmless,and defend Oculus,its
<br /> affiliates,and their respective directors, employees, agents,and
<br /> representatives,from and against any and all actions,disputes,proceedings,or
<br /> claims and associated damages,expenses,liabilities,losses and costs,
<br /> including reasonable fees of attorneys and other professionals,arising out of or
<br /> relating to (a)a breach or alleged breach of its obligations in connection with
<br /> accepting this donation,(b)WSHCT's violation of any applicable laws,rules,
<br /> or regulations,and(c)use of the Oculus Products by WSHCT or Participants,
<br /> including any personal injury or property damage,not otherwise caused by the
<br /> sole negligence of Oculus.
<br /> Confidentiality: We may provide WSHCT with Confidential Tnformation from time to time.
<br /> "Confidential Information"means(a)this letter agreement and it's details;
