Elavon Elavon Commercial Card Optimization Enrollment(v.10.13.20) COMMERCIAL CARD OPTIMIZATION ENROLLMENT This Commercial Card Optimization Enrollment (the "Enrollment") is entered into between Elavon, Inc. ("Elavon") and the merchant entity identified below as Company. This Enrollment is governed by that certain Master Services Agreement,Payment Device Processing Agreement, or Terms of Services, as applicable, by and between Elavon and Company (the "Agreement") governing the processing services provided to Company by Elavon. All capitalized terms used herein but not otherwise defined have the meanings ascribed to such terms in the Agreement. 1. Definitions. "Commercial Card Optimization Processing"means the authorization and settlement of payments made on certain commercial cards to which Level 2 or Level 3 interchange rates may be applied when the necessary data elements established by the relevant Payment Network with respect to such levels are included in the applicable transaction file. "Level 2 and Level 3 data elements"means those data elements established by Visa and Mastercard for inclusion in the transaction file for the processing of Level 2 cards(e.g.,tax amount,)or Level 3 cards(e.g.,ship from postal code, commodity code), as applicable,that allow for the reduced interchange rates to be applied to the Level 2 or Level 3 card Transactions. 2. Processing Services. Elavon will provide to Company the Commercial Card Optimization Processing service for those qualifying commercial cards that are accepted by Company through its existing card processing services. Elavon will perform the Commercial Card Optimization Processing service contemporaneously with the other processing services it provides to Company. With respect to a commercial card Transaction, if Company has not transmitted particular Level 2 and Level 3 data elements,Elavon will insert Level 2 and Level 3 data elements(including those shown on the attached schedule,as applicable),on a per an identified account basis,into the applicable data fields.Elavon will have no obligation to Company or to any third party to reconcile, modify, or adjust any data elements (e.g., amounts, quantities, values, or sales tax amounts) already included by Company to populate the necessary data fields for Commercial Card Optimization Processing. 3. Implementation. a. Initial Enablement.The Commercial Card Optimization Processing service is enabled and disabled at the Merchant Identification(MID) level. The execution of this Enrollment will instruct Elavon to enable the Commercial Card Optimization Processing service for all MID locations actively processing under the Agreement at the time of execution. b. Future Enablement/Disablement. Elavon will use commercially reasonable efforts to enable or disable the Commercial Card Optimization Processing service for a specific MID or MIDs within three business days of receiving notice from Company in the following form: Attention:Elavon Global Operations Support and Client Executive Notification to Enable/Disable Commercial Card Optimization Processing service Effective Date:[insert desired enablement/disablement date] List of Merchant Identification Numbers:[insert affected MIDs] 4. Compliance. Elavon and Company will comply with all Laws and Payment Network Regulations regarding the subject matter of this Enrollment. 5. Fees and Payment. a. Fees. As consideration for the Commercial Card Optimization Processing service,Elavon will retain Fifty percent (50%) of the gross interchange rate reduction applied to each Transaction subject to the Commercial Card Optimization Processing service from the applicable interchange rate had the Transaction been authorized and settled as a normal card Transaction and not as a Level 2 card Transaction or Level 3 card Transaction,as applicable.
