situation is not addressed in Section (1)or(2) above, such Party shall make a written <br /> request for relocation to the owning Party, which request shall not be unreasonably <br /> denied. Such relocation shall occur at the sole cost of the requesting Party and the <br /> requesting Party at its sole cost shall cause any disturbed property to be restored to the <br /> same condition as it was prior to the relocation. <br /> D. Restoration of Landfill Pad Due to Easement Activities and Removal of Landfill Gas <br /> Management System. <br /> 1. Definitions. Use,operation,maintenance,inspection,and/or repair activities under the <br /> Landfill Pad LFG Easement by the City or the City Representatives or by the O&M <br /> Contractors is referred to herein as"Easement Activities." Easement Activities within <br /> the Perimeter Landfill Pad Easement Area are referred to herein as "Perimeter <br /> Easement Activities." Activities related to removal or abandonment of the Easement <br /> Improvements under subsection I below are referred to herein as "Termination <br /> Activities." Activities related to removal or abandonment of the Easement <br /> Improvements in the Perimeter Landfill Pad Easement Area under Section I below are <br /> referred to herein as"Perimeter Termination Activities." <br /> 2. Perimeter Landfill Pad Easement Area Restoration. After Perimeter Easement <br /> Activities or Perimeter Termination Activities, the City shall promptly remove all <br /> equipment and debris or materials from the Perimeter Landfill Pad Easement Area <br /> caused by such activities, repair any other damage to the Landfill Pad caused by the <br /> City or its Representatives from such activities to the reasonable satisfaction of the RCI <br /> Entities,and leave the RCI Entities'property in substantially the same condition it was <br /> found prior to commencement of the Perimeter Easement Activities or Perimeter <br /> Termination Activities,or as otherwise agreed in writing by the Parties. All costs,fees <br /> and expenses relating the restoration of the Perimeter Landfill Pad Easement Area with <br /> respect to the Perimeter Easement Activities or Perimeter Termination Activities, <br /> including the proper removal or abandonment of the LFG System in the Perimeter <br /> Landfill Pad Easement Area,and all fees,costs,labor,materials and expenses, shall be <br /> the sole responsibility of the City except as may otherwise be agreed by the Parties in <br /> writing. <br /> 3. Relocation Restoration. In the case of a party exercising a right to relocate under <br /> subsection C above, the responsibilities and cost for restoration of the Landfill Pad <br /> Easement Area in connection with any disturbance or damage caused by such <br /> relocation shall be as allocated by such subsection C <br /> 4. Landfill Pad Easement Area Restoration. Except as otherwise provided in subsections <br /> D.2 and D.3 above, the responsibilities and cost for restoration of the Landfill Pad <br /> Easement Area in connection with any disturbance or damage caused by Easement <br /> Activities or Termination Activities, to the substantially same condition it was found <br /> prior to commencement of such Easement Activities or Termination Activities shall be <br /> the responsibility of the party that caused such disturbance or damage, with costs of <br /> such restoration allocated as set forth in the LEIA. <br /> 5. Damage Outside of Easement Area. Except as expressly provided elsewhere in this <br /> Agreement or in the CAP/CD or in other written agreements between the Parties, the <br /> City is not authorized under this Agreement to use,conduct activities on,or otherwise <br /> access, RCI Entities' property outside the Landfill Pad Easement Area.
