ASSIGNMENT& DELEGATION.Neither party may assign this Agreement <br /> without the prior written consent of the other party;provided,however,Agent may assign or <br /> delegate its rights pursuant to this Agreement to any Authorized Party(as hereafter defined) <br /> without having to obtain the written consent of the Principal.
