CITY OF EVERETT SPECIAL PROVISIONS
<br /> COVID-19: Disease related to the novel coronavirus (SARS-CoV-2), which is the subject of
<br /> Governor' Inslee's proclamation dated February 29, 2020, and subsequent proclamations.
<br /> COVID-19 Requirements: All governmental laws, regulations, requirements, and orders
<br /> relating to COVID-19, including without limitation OSHA, L&I or other safety rules relating to
<br /> COVID-19 and COVID-19 gubernatorial proclamations and orders.
<br /> Delay: Any increase in the duration of the critical path of the Project.
<br /> Dispute: Any controversy or disagreement.
<br /> Equipment: Mechanical, electrical, instrumentation, or other devices with one or more
<br /> moving parts, or devices requiring an electrical, pneumatic, electronic, or hydraulic
<br /> connection.
<br /> Extended Overhead: The increase in Overhead costs attributable to an extension of
<br /> Contract Time.
<br /> Extra Work: Providing materials and Equipment and the performance of Work not directly
<br /> called for in, or implied by, the Contract Documents, such that Contractor would be entitled
<br /> to an adjustment of Contract Sum and possibly an extension of Contract Time.
<br /> Final Acceptance: Formal action by Everett City Council determining that all of the
<br /> Contractor's Work has been completed, except for any landscaping maintenance.
<br /> Float: The amount of time between the early start date and the late start date, or the early
<br /> finish date and the late finish date of an activity in the Project schedule.
<br /> Force Account: Costs of performing Work as defined in 1-09.6 FORCE ACCOUNT.
<br /> Furnish: To deliver items, Equipment, or material to the job site or other specified location.
<br /> Install: Placing, erecting, or constructing complete in place items, Equipment, or material.
<br /> May: Conduct that is permitted, but not required.
<br /> Notice: A signed, written communication by the Contractor to the City as described in 1-04.5
<br /> NOTICE BY CONTRACTOR of these Special Provisions.
<br /> Notice of Award: The written notice from the City of Everett to the successful Bidder
<br /> signifying the City's acceptance of the Bid. No Contract is formed until the Contract Execution
<br /> Date.
<br /> Notice to Proceed: The written Notice from the City or City's Representative to the
<br /> Contractor authorizing and directing the Contractor to proceed with the Work and establishing
<br /> the date on which the Contract Time begins. Multiple and partial Notices to Proceed may be
<br /> issued on a single Project.
<br /> Over absorbed Overhead: Over recovery of fixed indirect costs that occurs when a
<br /> Contractor performs more overall Work than it otherwise would have performed.
<br /> Overhead
<br /> In general, Overhead for the purpose of calculating additional compensation under this
<br /> section of the Contract shall include only those costs that are expended for the administration
<br /> of the business as a whole. Such costs usually accrue or are incurred due to the passage of
<br /> time, or cannot be traced to a particular project or contract, or both.
<br /> Examples of possible Overhead costs include, but are not limited to, General and
<br /> Administrative salaries and benefits, rent, general company insurance, exclusive of
<br /> insurance on owned equipment that is directly job costed, depreciation on office facilities,
<br /> utilities, maintenance, office supplies, general company accounting and legal fees, exclusive
<br /> of amounts expended directly on any specific project, personal property taxes, general
<br /> company business licenses, dues and subscriptions.
<br /> The following costs and expenses are excluded from the definition and calculation of
<br /> Overhead. Overhead costs that vary substantially with the volume of Work performed, as
<br /> measured by billings, shall not be included in Overhead for the purpose of determining
<br /> additional compensation for Extended or Unabsorbed Home Office Overhead, or both.
<br /> Examples of costs that are not included in Overhead include: travel and business meetings,
<br /> telephones, professional fees expended for the benefit of a specific project, union welfare
<br /> benefits, payroll taxes and equipment rental.
