Confidential Records not be disclosed, Vendor shall commence an <br /> action in Snohomish County Superior Court before the disclosure date. <br /> The City has no liability whatsoever to Vendor for the disclosure of <br /> any record when that disclosure is consistent with the Act or with <br /> an order applying the Act entered by the Snohomish County <br /> Superior Court or a Washington appellate court. <br /> C. Agreement Not Confidential. Vendor acknowledges and agrees that the <br /> Agreement, work orders, service orders and similar documents stating <br /> work to be done for the City, pricing for the City, and City-Vendor <br /> agreement terms and conditions are never confidential. All of these may <br /> be posted on the City's public website without notice to Vendor. <br /> D. No Obligation to Destroy or Return. The City has no obligation to <br /> destroy or return any Confidential Record or any other record. <br /> E. Venue. The exclusive venue for any dispute regarding the subject <br /> matter of this addendum is Snohomish County Superior Court. <br /> F. Addendum Controlling. This Addendum controls any conflicting <br /> provision in the Agreement. Without limiting the foregoing sentence in <br /> any respect, the following are examples of Agreement provisions that <br /> this Addendum controls: Sections 1.10, 3.1, 9, 10.6, 10.15, 10.16 <br /> G. Signature. Execution of this Addendum by a party shall be legally valid <br /> and effective through any of the following: (i) executing a paper copy, (ii) <br /> execution by AdobeSign or DocuSign or other e-signature method, or <br /> (iii) transmitting an executed copy by email or otherwise in pdf format or <br /> other electronically scanned format.
