discharges the City and its officers, officials, owners, consultants, engineers, successors or <br />assigns from any and all claims, debts, demands, damages, liabilities, suits, actions or causes of <br />action of whatsoever kind, nature or description (including without limitation claims for legal <br />fees and costs), whether such claims are matured or unmatured, liquidated or unliquidated, <br />contingent or noncontingent, suspected or unsuspected, known or unknown, foreseen or <br />unforeseen, which in any way arise out of or relate to the Project or the Purchase Order, <br />including without limitation the ICI Formal Claim, the TMF Claims and all claims, rights, <br />remedies or causes of action assigned to TMF under the Claims Prosecution Agreement. <br />9. It is expressly understood and agreed that the City does not admit any <br />wrongdoing, negligence, violation of law or any liability to any ICI or TMF, such liability being <br />expressly denied. The execution or performance of this Agreement shall not be for any purpose <br />construed as an admission of liability. <br />10. This Agreement shall be bindings on the successors and assigns of the Parties. <br />11. This Agreement may be signed in counterparts, each of which shall constitute an <br />original and all of which together shall be deemed a single document. Execution and delivery of <br />this Agreement by a party shall be legally valid and effective through any of the following: (a) <br />executing and delivering a paper copy, (b) execution and/or transmittal by AdobeSign or <br />DocuSign or other e-signature method, or (c) transmitting an executed copy by email in pdf <br />format or other electronically scanned format. <br />2 <br />
