request, CONSULTANT shall provide copies of City invoices to Riverfront and <br /> Riverfront invoices to the City. CONSULTANT will provide back-up documentation <br /> for each invoice as reasonably requested by the Riverfront or City. Each party that <br /> makes up the CLIENT will make payment for their portion of such invoices within <br /> 30 days of receiving the invoice. The costs of any administrative tasks of shall be <br /> split equally between City and Riverfront and invoiced accordingly. <br /> C. Final payment of any balance due the CONSULTANT of the total contract price <br /> earned will be made promptly upon its ascertainment and verification by the CLIENT <br /> after the completion of the work under this Agreement and its acceptance by the <br /> CLIENT. <br /> D. Payment as provided in this section shall be full compensation for work performed; <br /> services rendered; and for all materials, supplies, equipment, and incidentals necessary <br /> to complete the work. <br /> E. The CONSULTANT's records, documents, and accounts pertaining to this <br /> Agreement are to be kept available for inspection by representatives of the CLIENT, <br /> City and state for a period of three (3) years after final payments. Copies shall be <br /> made available to CLIENT and City upon request. <br /> 5. Changes in Work. The CLIENT has the right to order changes or alterations in the work to <br /> be performed within the general scope of this Agreement. In the event that changes or <br /> alterations ordered affect the cost or progress of the work, adjustments shall be made in <br /> the time for performance of the work and/or compensation owing to the CONSULTANT, <br /> as the case may be, as mutually agreed upon in writing between the CLIENT and the <br /> CONSULTANT. All changes in scope of the Work must be approved by both parties that <br /> make up the CLIENT, in accordance with Section 2.6 and Section 7.0 of the LEIA. <br /> 6. Ownership and Use of Documents. All documents, drawings, specifications, and other <br /> materials produced by the CONSULTANT in connection with the services rendered under <br /> this Agreement shall be the property of the CLIENT, whether the project for which they <br /> are made is executed or not. The CONSULTANT shall be permitted to retain copies, <br /> including reproducible copies of drawings and specifications for information, reference, <br /> and use in connection with the CONSULTANT's endeavors. The CONSULTANT shall not be <br /> responsible for any use of the said documents, drawings, specifications, or other materials <br /> by the CLIENT on any project other than the project specified in this Agreement. <br /> 7. Compliance with Laws. The CONSULTANT shall, in performing the services contemplated <br /> by this Agreement, faithfully observe and comply with all federal, state, and local laws, <br /> ordinances, and regulations, applicable to the services to be rendered under this <br /> Agreement. The CONSULTANT further acknowledges that the City is subject to the Public <br /> Records Act, chapter 42.56 RCW (the "Act"). All records owned, used or retained by the <br /> City are public records subject to disclosure unless exempt under the Act, whether or not <br /> such records are in the possession or control of the City or CONSULTANT.
