31. Protected Information. (A) For the purposes of this Section 31, "Protected Information" means this Agreement and all documents, databases, records, emails, analyses, information, reports, memoranda, and other materials prepared pursuant to this Agreement or in furtherance of the Work, regardless of whether in paper, electronic or other format. (B) The parties acknowledge and agree that claims against the City may become litigation and that Protected Information may be prepared in anticipation of litigation. In its performance of this Agreement, the Service Provider shall closely coordinate with the City Attorney's Office. Except as directed in writing by the City Attorney's Office or as provided in Section 29(C)below, Service Provider shall not disclose any Protected Information to any person other than the City. (C) If the Service Provider believes that it must disclose Protected Information to a person other than the City because of subpoena, court order or other applicable law,the Service Provider shall immediately deliver written notice thereof to the City Attorney's Office. This written notice must contain a description of the Protected Information that the Service Provider intends to disclose and the date on which the disclosure will occur (the "Disclosure Date"). The Service Provider shall not disclose Protected Information unless the Service Provider has delivered such a written notice. Service Provider shall use its best efforts to deliver the written notice at least ten (10)business days before the Disclosure Date.
