31. Protected Information. <br /> (A) For the purposes of this Section 31, "Protected Information" means this Agreement <br /> and all documents, databases, records, emails, analyses, information, reports, memoranda, and <br /> other materials prepared pursuant to this Agreement or in furtherance of the Work, regardless of <br /> whether in paper, electronic or other format. <br /> (B) The parties acknowledge and agree that claims against the City may become litigation <br /> and that Protected Information may be prepared in anticipation of litigation. In its performance of <br /> this Agreement, the Service Provider shall closely coordinate with the City Attorney's Office. <br /> Except as directed in writing by the City Attorney's Office or as provided in Section 29(C)below, <br /> Service Provider shall not disclose any Protected Information to any person other than the City. <br /> (C) If the Service Provider believes that it must disclose Protected Information to a person <br /> other than the City because of subpoena, court order or other applicable law,the Service Provider <br /> shall immediately deliver written notice thereof to the City Attorney's Office. This written notice <br /> must contain a description of the Protected Information that the Service Provider intends to <br /> disclose and the date on which the disclosure will occur (the "Disclosure Date"). The Service <br /> Provider shall not disclose Protected Information unless the Service Provider has delivered such a <br /> written notice.
