DocuSign Envelope ID: 38EC920D-3BDE-4DDB-B2AE-378ECAC82E95 AMENDMENT NO. 3 TO VERA CLINIC AGREEMENT THIS AMENDMENT NO. 3 TO VERA CLINIC AGREEMENT (this "Amendment"), dated as of , 2022 (the "Effective Date"), amends the terms of the June 7, 2019 Vera Clinic Agreement (the "Agreement") by and among Vera Whole Health, Inc., Vera Whole Health WA, P.C. (collectively "Vera"), and the City of Everett (previously "Employer"), as amended. All capitalized terms not otherwise defined herein shall have the meanings set forth in the Agreement. Pursuant to Section 10.10 of the Agreement, parties desire to amend the Agreement to add additional services (onsite integrated behavioral health services) performed by Vera and to outline their respective obligations for these service additions. Now, therefore, for valuable consideration, the parties agree as follows: 1. Defined Terms. Unless otherwise defined in this Amendment, capitalized terms used herein shall have the same meaning as they are given in the Agreement. 2. Amendment. The Agreement is hereby amended as follows: 2.2 Paragraph B. Vera P.C. Clinical Services of Schedule 1 Services is amended to add a new subparagraph (17) as follows: (17) Onsite Integrate Behavioral Health Services. Vera will provide onsite behavioral health services for eligible patients at the Central Everett care center as mutually agreed by the Parties. Vera shall be provided with reasonable time for the implementation and training required to support this service addition. Services are anticipated to include, without limitation: • Screening, short term and functionally focused therapy and patient management. • Addressing behavioral health issues with low to moderate acuity levels with short term, evidence -based interventions. • Treatment and support for common conditions such as sleep problems, chronic pain, other uncontrolled chronic disease, ADD/ADHD, and medically unexplained symptoms (e.g., chronic fatigue). • Collaborative consultation(s) with collaborating Psychiatrist(s) when warranted by patient condition(s). 2.3 Paragraph 1.1 to Schedule 2 Fees is amended to add a new subparagraph: (d) PPPM Fee Increase. Upon hire of one (1) 0.75 FTE Onsite Behavioral Health Clinician to support the additional services contemplated by this amendment, the Admin PPPM Fee shall thereafter increase by an additional $5.82.
