Exhibit A - 1 Exhibit A STATEMENT OF WORK This Statement of Work is made effective as of the date of the Master Services Agreement between Company and Client (“Agreement”). This Statement of Work shall be governed by such Agreement. In the event of a conflict between the terms and conditions of this Statement of Work and the Agreement, the terms and conditions of this Statement of Work shall supersede and control. 1. Onboarding Services a. Company shall provide onboarding services which shall include the following: (i) Company bulk uploading of certificates of insurance and assigning them to the relevant vendor; (ii) Company bulk uploading of compliance certificates to Company system; and (iii) Company bulk uploading of all vendors (collectively the "Onboarding Services"). b. Company acknowledges that a significant portion, if not all, of the cost of the Onboarding is incurred in the initial stages of the Services. Therefore, notwithstanding anything contained in this Agreement or any schedule or exhibit thereto, there shall be no refunds of any amounts paid by Client to Company for Onboarding in the event Client terminates this Agreement prior to the expiration of the Term. 2. Subscription: The Company shall provide a subscription to the Trustlayer Collaborative Risk Management Platform. 3. TL+ (managed services). The Company agrees to provide managed services, pursuant to Section 2 of the Agreement. The scope of managed services will be determined by letters of understanding between the Company and the Client’s City Attorney or Deputy City Attorney. 4. Term: 2 years ("Initial Term"). This Statement of Work will automatically extend after the Initial Term on an annual basis, unless terminated by either party in accordance with the terms of the Agreement. The fees during an extension term will be as set forth in this Statement of Work, unless otherwise specified in writing by amendment to this Statement of Work signed by the parties. Termination of Automatic Extension. Either party may terminate the automatic extension of this Statement of Work by providing written notice to the other party at least 60 days prior to the end of the current term. 5. Fees: Fees for this Statement of Work are as follows: The annual fee is $27,000, and the one-time boarding fee is $2,523.00, based on the table below. The annual fee will be paid by Client on a monthly basis ($2250.00 per month) upon invoice from Company. The one-time onboarding fee will be paid by Client after the execution of the Agreement upon invoice from Company.
