SECOND AMENDMENT <br />TO <br />SERVICES AGREEMENT <br />BETWEEN THE CITY OF EVERETT <br />AND GRANICUS, INC. <br /> <br /> This Amendment No. 2 is dated for reference purposes November 1, 2022. It is by <br />and between the City of Everett, a municipal corporation under the laws of the State of <br />Washington (“City”) and Granicus, Inc. (“Service Provider”). <br /> <br />RECITALS <br /> <br /> A. The City and Service Provider are parties to the Services Agreement dated <br />April 21, 2009, as amended by the First Amendment dated August 11, 2015 (as amended, <br />the “Agreement”). <br /> <br /> B. The City and Service Provider have been unable to locate fully executed <br />copies of the Agreement. The purpose of this Amendment is to confirm that the <br />Agreement as attached to this Amendment is the complete Agreement and is in full force <br />and effect. <br /> <br />AGREEMENT <br /> <br />The City and Service Provider agree as follows: <br /> <br />1. The complete Agreement as of the date of this Amendment No. 2 is attached and <br />consists of the above-mentioned Services Agreement and the First Amendment. <br />The Services Agreement has been in full force and effect since April 21, 2009, as <br />amended by the First Amendment, which has been in full force and effect since <br />August 11, 2015. <br /> <br />2. This Amendment No. 2, while entitled an “Amendment” for recordkeeping <br />purposes, does not modify or otherwise amend the Agreement. The provisions of <br />the Agreement as attached remain in full force and effect. Also, the parties <br />acknowledge that this Amendment No. 2 and the Agreement are not confidential. <br /> <br />3. This Amendment No. 2 may be signed in counterparts, each of which shall be <br />deemed an original, and all of which, taken together, shall be deemed one and the <br />same document. Execution of this Amendment by a party shall be legally valid and <br />effective by (i) executing a paper copy, (ii) execution by AdobeSign or DocuSign or <br />other e-signature method, or (iii) transmitting an executed copy by email or <br />otherwise in pdf format or other electronically scanned format <br /> <br />[signatures on following page] <br /> <br />
