3 <br />15039916.1 <br />iii. Business Associate may use Protected Health Information to provide Data <br />Aggregation services to the Plan as permitted by 45 CFR 164.504(e)(2)(i)(B). <br />iv. Business Associate may use or disclose Protected Health Information as Required <br />By Law. <br />v. Business Associate agrees to use reasonable efforts to limit Protected Health <br />Information when making Uses and Disclosures and requests for Protected Health <br />Information to the Minimum Necessary to accomplish the intended purpose of the <br />Use, Disclosure, or request, in accordance with 45 CFR 164.502(b). <br />vi. Business Associate may not use or disclose Protected Health Information in a <br />manner that would violate Subpart E of 45 CFR Part 164 if done by the Plan, except <br />for the specific Uses and Disclosures set forth above. <br />4. Obligations of Plan <br />(a) The Plan shall notify Business Associate of any limitation(s) in its Notice of Privacy <br />Practices under 45 CFR 164.520, to the extent that such limitation may affect Business <br />Associate's Use or Disclosure of Protected Health Information. <br />(b) The Plan shall notify Business Associate of any changes in, or revocation of, the permission <br />by an Individual to use or disclose his or her Protected Health Information, to the extent that <br />such changes may affect Business Associate's Use or Disclosure of Protected Health <br />Information. <br />(c) The Plan shall notify Business Associate of any restriction on the Use or Disclosure of <br />Protected Health Information that the Plan has agreed to or is required to abide by under 45 <br />CFR 164.522, to the extent that such restriction may affect Business Associate's Use or <br />Disclosure of Protected Health Information. <br />(d) The Plan shall not request Business Associate to use or disclose Protected Health <br />Information in any manner that would not be permissible under Subpart E of 45 CFR <br />Part 164 if done by the Plan, except for any Use or Disclosure for data aggregation or <br />management and administration and legal responsibilities of the Business Associate. <br />5. Term and Termination <br />(a) Term <br />The Term of this Agreement shall terminate upon termination of the Customer Agreement <br />(including any amendment or renewal thereof), or on the date the Plan terminates for cause as <br />authorized in paragraph (b) of this Section, whichever is sooner. <br />(b) Termination for Cause <br />Business Associate authorizes termination of this Agreement by the Plan, if the Plan determines <br />Business Associate has violated a material term of the Agreement and Business Associate has <br />not cured the breach or ended the violation within the time specified by the Plan. <br />DocuSign Envelope ID: D630F73D-D64F-4694-A24A-FC8220069016
