AMENDMENT NO. 1 <br />CONTRACT FOR BASIC LIFE SUPPORT AMBULANCE SERVICES <br />BETWEEN THE CITY OF EVERETT <br />AND NW AMBULANCE <br />This Amendment No. 1 is by and between the City of Everett, a municipal <br />corporation under the laws of the State of Washington ("City") and Platinum Nine <br />Holdings, LLC dba NW Ambulance, a Washington limited liability company <br />("Contractor"). <br />RECITALS <br />A. The City and Contractor are parties to the Contract for Basic Life Support <br />Ambulance Services dated July 1, 2016 (the "Agreement"). <br />B. The City and the Contractor desire to extend the term of the Agreement, so <br />that the term expires December 31, 2023. <br />AGREEMENT <br />The City and Contractor agree as follows: <br />1. The Agreement is renewed/extended until December 31, 2023. Section 47.1 of the <br />Agreement is amended as follows, with underlined text added: <br />47. 1 Term of Contract. The term of this Contract is five years, beginning <br />on the Effective Date. The Contract will automatically renew without any <br />action of the parties for an additional two years and six months (i.e., <br />extended until December 31, 2023), unless either (1) the City provides <br />Contractor with written notice prior to the fifth anniversary of the Effective <br />Date that the City will not renew the Contract or (2) the Contractor provides <br />written notice no later than the fourth anniversary of the Effective Date that <br />the Contractor will not renew the Contract. <br />2. This Amendment may be signed in counterparts, each of which shall be deemed an <br />original, and all of which, taken together, shall be deemed one and the same document. <br />Any electronic, faxed, scanned, photocopied, or similarly reproduced signature on this <br />Amendment or any amendment hereto will be deemed an original signature and will <br />be fully enforceable as if an original signature. <br />3. All provisions in the Agreement shall remain in effect except as expressly modified <br />by this Amendment. <br />[signatures on following page] <br />
