AMENDMENT NO. 1 CONTRACT FOR BASIC LIFE SUPPORT AMBULANCE SERVICES BETWEEN THE CITY OF EVERETT AND NW AMBULANCE This Amendment No. 1 is by and between the City of Everett, a municipal corporation under the laws of the State of Washington ("City") and Platinum Nine Holdings, LLC dba NW Ambulance, a Washington limited liability company ("Contractor"). RECITALS A. The City and Contractor are parties to the Contract for Basic Life Support Ambulance Services dated July 1, 2016 (the "Agreement"). B. The City and the Contractor desire to extend the term of the Agreement, so that the term expires December 31, 2023. AGREEMENT The City and Contractor agree as follows: 1. The Agreement is renewed/extended until December 31, 2023. Section 47.1 of the Agreement is amended as follows, with underlined text added: 47. 1 Term of Contract. The term of this Contract is five years, beginning on the Effective Date. The Contract will automatically renew without any action of the parties for an additional two years and six months (i.e., extended until December 31, 2023), unless either (1) the City provides Contractor with written notice prior to the fifth anniversary of the Effective Date that the City will not renew the Contract or (2) the Contractor provides written notice no later than the fourth anniversary of the Effective Date that the Contractor will not renew the Contract. 2. This Amendment may be signed in counterparts, each of which shall be deemed an original, and all of which, taken together, shall be deemed one and the same document. Any electronic, faxed, scanned, photocopied, or similarly reproduced signature on this Amendment or any amendment hereto will be deemed an original signature and will be fully enforceable as if an original signature. 3. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment. [signatures on following page]
