1 <br /> <br />COOPERATIVE PURCHASING INTERLOCAL AGREEMENT <br /> <br /> <br />In accordance with RCW Chapter 39.34 and all other applicable laws, the City of Everett <br />and the _____________________________________, hereby agree as of <br />_____________, 2023, to cooperative governmental purchasing agreement for various <br />supplies, materials, equipment and routine, expert and/or consultant services, using <br />competitively awarded contracts. The following terms and conditions shall apply: <br /> <br /> <br />1. Each agency, in contracting for the purchase of supplies, materials, equipment and <br />services, agrees at its discretion, to extend contracts for shared use to the extent <br />permitted by law and agreed upon by those parties and suppliers. <br /> <br />2. Each agency is responsible for compliance with any additional applicable laws and <br />regulations regarding purchases. <br /> <br />3. Any purchases shall be made by a purchase order from the purchasing agency and <br />directed to the supplier(s). <br /> <br />4. The originating contracting agency does not accept responsibility or liability for the <br />performance of any supplier used by the purchasing agency as a result of this <br />agreement. A purchasing agency uses contracts under this agreement solely at its <br />own risk. <br /> <br />5. Each agency shall be responsible for the payment of any item(s) purchased through <br />a contract or purchase order that resulted from this Agreement. <br /> <br />6. This Agreement shall remain in force until cancelled in writing by either party. <br /> <br />7. No separate legal or administrative entity is created by this agreement. To the <br />extent required by applicable law, each party is responsible for financing and <br />maintaining a budget for its activities under this agreement. To the extent required <br />by applicable law, each party shall act as its own administrator for its activities under <br />this agreement. All property purchased by a party to this agreement shall be the <br />property of that party and such property shall be held and disposed of in accordance <br />with applicable law. <br /> <br />8. This agreement constitutes the entire agreement of the parties relating to the subject <br />matter of this agreement. This agreement supersedes and replaces all other written <br />or oral agreements thereto. No amendment to this agreement will be effective <br />unless in writing and signed by authorized representatives of each party. <br /> <br />9. This agreement may be executed in counterparts with the same effect as if both <br />parties hereto had executed the same document.
