AMENDMENT NO. 3 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND MACKENZIE This Amendment No. 3 is dated for reference purposes __________ 2023. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington (“City”) and Mackenzie (“Service Provider”). RECITALS A.The City and Service Provider are parties to the Professional Services Agreement dated December 7, 2020, and Amendment No. 2 dated March 25, 2022 (the “Agreement”). B.The City and the Service Provider desire to amend the Agreement for the purpose of extending the Time of Completion, Compensation, and modifying the Scope of Work for the Everett Municipal Building – Public Works Tenant Improvement Project located at 2930 Wetmore Avenue. AGREEMENT The City and Service Provider agree as follows: 1.The Agreement is modified so that time of beginning and completion are as follows: Time of Beginning and Completion of Performance: This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31, 2026. 2.The Agreement is modified so that the total compensation, including all services and expenses, shall not exceed $2,581,905. (This is the sum of $325,700 from the original agreement plus $2,256,205 added by this Amendment.) 3.The Work is modified to add the Work shown on Exhibit A to this Amendment. Additional architectural and engineering services include: •Team Structure/Engagement •Design Development •Construction Documents •Bid Assistance •Permitting •Construction Contract Administration •Construction Delivery – Working with and Assist in selecting a General Contractor/General Construction (GC/CM) 4.Regardless of the date(s) on which this Amendment is signed by the parties, and regardless of any Agreement completion date(s) that may have been in the 02/27/2023
