marking GC/CM firm, by submitting an RFP Proposal or RFFP <br /> Final Proposal in response to this RFP or the RFFP, agrees to <br /> indemnify, defend and hold harmless the City of Everett from all <br /> lawsuits, liabilities, losses, damages, penalties, attorneys' fees <br /> and costs the City of Everett incurs arising from or relating to <br /> such withholding from disclosure. <br /> 9.7.2.5. Each GC/CM firm, by submission of an RFP Proposal or RFFP <br /> Final Proposal, acknowledges and agrees that the Owner will <br /> have no obligation to advocate for nondisclosure in any forum <br /> and has no liability whatsoever to any GC/CM firm for the <br /> disclosure of any Proposal or material or record of any kind <br /> when that disclosure is in accordance with applicable law or in <br /> accordance with an order applying applicable law entered by the <br /> Snohomish County Superior Court or a Washington appellate <br /> court. <br /> 9.7.3. No Disclosure Until Completion of GC/CM Process. Unless otherwise <br /> required by law, the Owner reserves the right to withhold disclosure of <br /> materials related to the GC/CM process (such as, for example, RFP <br /> Proposals, RFFP Final Proposals, and scoring information) until after the <br /> GC/CM process has been completed. <br /> 9.7.4. Consent. By submitting an RFP Proposal or RFFP Final Proposal, the <br /> GC/CM firm consents and agrees to this Section 9.7 and waives and <br /> releases all claims against the City arising from the City's actions taken in <br /> accordance with Section 9.7. <br /> 9.8 Non-Disclosure Obligation <br /> Any data provided by the Owner either before or after the Contract award shall only be used for <br /> its intended purpose. Contractors and Subcontractors shall not utilize nor distribute Owner- <br /> provided data in any form without the express written approval of the Owner. <br /> 9.9 Addenda <br /> If at any time, the Owner revises, deletes, clarifies, or otherwise modifies the RFP, the Owner <br /> will issue a written Addendum to the RFP, which will be posted at: <br /> https://vvww.everettwa.gov/271 3/Bid-opportunities. <br /> The firm shall be responsible for obtaining,reading,and addressing addenda information in their <br /> RFP Proposal and RFFP Final Proposal. <br /> 10.0 PROPOSAL GUARANTEE <br /> Submittal of a bid bond and letter from Surety is not required to be submitted as part of the RFP <br /> Proposal. <br /> 11.0 PROTEST PROCEDURES <br /> Chapter 3.46 of the Everett Municipal Code (EMC) governs all protests of this GC/CM <br /> procurement. A copy of Chapter 3.46 EMC is attached to this RFP. The City reserves the right <br /> to require strict compliance with all requirements of Chapter 3.46 EMC. <br /> • Protest Related to RFP.
