RFI Communications and Security Systems (hereinafter referred to as “RFI” or "ALARM COMPANY") agrees to sell, provide, and program, at Subscriber's <br />premises, and Subscriber agrees to buy an electronic security system consisting of the equipment and services described in the attached EXHIBIT <br />A:Schedule of Equipment and Services. <br /> <br /> 2. DESCRIPTION OF EQUIPMENT AND SERVICES: (For all subcategories descriptions see EXHIBIT A: Schedule of Equipment and Services) <br /> Check Services Provided: <br /> ☐ (a) Installation/Lump Sum ☐ (b) Service and Repair ☒ (c) Preventative Services <br /> ☐ (d) On-Site Administration Services ☒ (e) Other: (See Attached EXHIBIT A: Schedule of Equipment and Services.) <br /> <br /> 3. PASSCODE TO CPU SOFTWARE REMAINS PROPERTY OF RFI / TITLE TO EQUIPMENT: Provided Subscriber performs this agreement for the full <br />term, upon termination RFI shall at its option provide to Subscriber the passcode to the CPU software or change the passcode to the manufacturer’s <br />default code. Software programmed by RFI is the intellectual property of RFI and any unauthorized use of same, including derivative works, is strictly <br />prohibited and may violate Federal Copyright Laws, Title 17 of the United States Code, and may subject violator to civil and criminal penalties. Upon <br />installation the Equipment shall be deemed Subscriber’s personal property and shall not be considered a fixture, or an addition to, alteration, conversion, <br />improvement, modernization, remodeling, repair or replacement of any part of the realty, and Subscriber shall not permit the attachment thereto of any <br />apparatus not furnished by RFI. RFI’s signs and decals remain the property of RFI and must be removed upon termination of this agreement. <br /> <br /> 4. CHECK BOX FOR APPROPRIATE SERVICES: Only services selected are included: <br />SERVICES AND RECURRING CHARGES: Installation and Service Repair are billed progressively. Service Agreements and Inspection and <br />Testing are billed annually in advance and are plus tax, if applicable <br /> <br /> ☐ (a) INSTALLATION/LUMP SUM: Subscriber agrees to pay RFI the lump sum of $ for the attached Scope of Work. <br /> ☐ Extended Care Warranty $ Year Two $ Year Three <br /> <br /> ☐ (b) SERVICE AND REPAIR (Select i or ii) <br />☐ (i) Subscriber agrees to pay RFI current published RFI rates on a per call basis. If this agreement provides for service on a per call basis, <br />Subscriber agrees to pay RFI for all parts and labor at time of service. Subscriber is not obligated to call RFI for per call service and RFI is under <br />no duty to provide service except its warranty service during warranty period. Service by anyone other than RFI during warranty period relieves <br />RFI of any further obligations under the Limited Warranty. <br /> <br />☐ (ii) Subscriber agrees to pay RFI for Service Plan for the security equipment the sum of $ annually in advance for the term of this <br />agreement. (See attached EXHIBIT B: Service Plan Description) <br /> <br /> ☒ (c) PREVENTATIVE SERVICES: Subscriber agrees to pay RFI $ 38,670.68 annually in advance for the term of this agreement for preventative <br />services. If this option is selected RFI will make 1 inspection(s) per year. Unless otherwise noted in the EXHIBIT A: Schedule of Equipment and <br />Services inspection service includes testing of all accessible components to insure proper working order. If the system is UL Certified, the inspection <br />will comply with UL requirements. RFI will notify Subscriber 3 days in advance of inspection date. It is Subscriber's responsibility to reschedule or <br />permit access. Testing at inspection tests only that components are in proper working order at time of inspection unless otherwise reported to <br />Subscriber at time of inspection. Inspection does not include repair. If Access Control doors are inspected, the inspection consists of the Access <br />Control devices only. The inspection does not include inspection or testing of door leafs, frames, hinges, mechanical hardware, closers, or <br />components of automated doors for which RFI has no responsibility or liability. <br /> <br /> ☐ (d) ON-SITE ADMINISTRATION SERVICES: Subscriber agrees to pay RFI the sum of $ annually in advance for the term of this <br /> agreement. <br /> <br /> ☒ (e) OTHER: Subscriber agrees to pay RFI $ per month for the term of this agreement or $ 21,516.77 lump sum for the attached Scope of Work. <br /> <br /> 5. PAYMENT, TERM OF AGREEMENT AND RENEWAL: <br /> For 4(a) INSTALLATION: <br />• Upon Contract execution, lump sum or fixed price contracts, RFI will require a deposit/down payment of 30% of the contract value. Projects <br />exceeding one calendar month will be billed for work completed during each month (progressive billing). Progressive Billing will include <br />invoicing for engineering, labor, and/or programming prior to onsite installation and material stored at RFI. Payment is due 30 days from the <br />date of invoice. Customer agrees to pay each invoice when due. In addition to all other rights and remedies available, RFI shall have the option <br />to withhold any further shipments of material and/or the provision of any service, including but not limited to Technical Assistance, until <br />Customer’s account is paid in full. Further, in the event payment is not received according to terms, RFI may at its discretion, assess interest <br />at the maximum rate allowed by law. Customer also agrees to pay reasonable attorney’s fees or agency commissions sustained by RFI in <br />pursuit of payment. Any alteration or deviation from the above specifications involving extra cost will be made only upon written agreement <br />and will become an extra charge over and above the estimate. If Extended Care Warranty is selected Subscriber will be invoiced for the entire <br />COE <br />DR
