DocuSign Envelope ID: 765D24FB-807F-4BEO-AD8E-E5564468496B Amendment No. 2 to RISKMASTER Accelerator eXpress Access Agreement (Work Order No.1) May 31,2023- Prices valid until 30 days This amendment no 2 (this "Amendment") is deemed effective May 31, 2023 (the "Effective Date") and is hereby made a part of and mcorporated into the RISKMASTER Accelerator eXpress Access Agreement Work Order No. 1 dated effective December 31, 2015, as amended (the "Access Agreement"), by and between Computer Sciences Corporation, a wholly owned subsidiary of DXC Technology Company (` CSC') and City of Everett ("Customer' ). In the event that any provision of this Amendment and any provision of the Access Agreement are inconsistent or conflicting, the inconsistent or conflicting provision of this Amendment shall be and shall constitute an amendment of the Access Agreement and shall control, but only to the extent that such provision is inconsistent or conflicting with the Access Agreement. WHEREAS, CSC and Customer entered into the Access Agreement with term June 1 2016 through May 31, 2020 pursuant to the Agreement for Purchase, Installation and Training of Risk Management Information System by and between. CSC and Customer dated March 31, 2000, as amended (the "Agreement"); WHEREAS, CSC and Customer entered into RISKMASTER Access Agreement Renewal Work Order No 4 dated effective May 1 2020 ("Access Agreement Renewal"), to extend the term of the Access Agreement until May 31, 2023; WHEREAS CSC and Customer now wishes to further extend the term of the Access Agreement until May 31, 2026, in accordance with this Amendment; NOW THEREFORE, in consideration of the foregoing and subject to the terms and conditions provided hereinafter, the parties agree as follows: 1. Add below additional wording to Section 7a (Fees) as follows: • June 1, 2023, to May 31, 2026 -$ 15, 568.00 per year 2. Delete and replace Section 8 (CPI index annual increase) as follows: With effect from June 1, 2024 and on its each anniversary thereafter the annual access fees under Section 7(a) may be increased to account for inflation in an amount to not to exceed the Consumer Price Index (CPI) rates for the United States published by the United States Bureau of Labor Statistics for the immediately preceding calendar year, or 3% or whichever is less. 3.Delete and replace Section 9 (Term of the Access Agreement) as follows: June 1, 2016, through May 31, 2026 OPX ID- Kathy Rhodes SR-0020130282- PP 0 2023 Computer Sciences Corporation.
