LEASE AMENDMENT NO. 1 <br /> THIS AMENDMENT ("Amendment"), dated for reference purposes July 1, 2023, is <br /> made between the City of Everett, a municipal corporation whose address is 2930 Wetmore <br /> Avenue, Everett, Washington 98201, for its heirs, executors, administrators, successors, and <br /> assigns, hereinafter called the Lessor ("Lessor"), and WORKFORCE DEVELOPMENT COUNCIL <br /> SNOHOMISH COUNTY, hereinafter called the Lessee ("Lessee"). This Amendment No. 1 <br /> concerns the lease dated July 1, 2022 for office space located on the 3' and 4th floors of the <br /> building commonly known as Everett Station, located at 3201 Smith Ave., Everett, WA 98201, <br /> between Lessee and the City, (the "Lease"). <br /> 1. The parties amend the Lease by adding the following provision: <br /> Lessee Insurance. Lessee shall, throughout the Term, at its own expense, <br /> keep and maintain in full force and effect the following policies,which shall <br /> be endorsed as needed to provide that the insurance afforded by these <br /> policies is primary and that all insurance carried by Landlord and Landlord's <br /> self-insurance is strictly excess and secondary and shall not contribute with <br /> Lessee' liability insurance: <br /> A policy of commercial general liability insurance, insuring against claims <br /> of bodily injury and death or property damage or loss with a combined <br /> single limit of not less than Two Million Dollars ($2,000,000.00) per <br /> occurrence and location. <br /> Lessee shall deliver to Lessor from time to time, at Landlord's request, a <br /> certificate of Insurance s evidencing such policy. <br /> 2. The parties amend the Lease by replacing Sections 3 and 8, in their entirety, <br /> as follows: <br /> TERM <br /> 3. TO HAVE AND TO HOLD the premises with their appurtenances <br /> beginning on July 1, 2022, and terminating at midnight on June 30, 2026, <br /> unless terminated earlier as provided for under Section 8, <br /> RENEWAL/CANCELLATION, section below. Any tenancy thereafter shall be <br /> on a month to month basis. <br /> RENEWAL/CANCELLATION <br /> 8. Lessee may terminate the Lease upon at least 60 days prior written <br /> notice to the Lessor, which notice will state the effective date of <br />
