Sculpture Loan Agreement <br />Page 1 <br /> <br /> <br />SCULPTURE LOAN AGREEMENT <br /> <br />This Agreement is by and between the City of Everett, a municipal corporation of the <br />State of Washington, 2930 Wetmore Ave., Everett, Washington 98201 (“City”) and <br />(“Lender”). This Agreement is dated as of July 14 ,2023. The Lender’s address is 4207 Woodlawn <br />Park Ave N, Seattle, WA 98103, 206-930-0681, ken@msreal.com. <br /> <br />1. GENERAL <br /> <br />Lender agrees to loan to the City for public display the three dimensional tangible work of art <br />titled Red Spiral more specifically described in Exhibit A (hereinafter referred to as “Work”). <br /> <br />2. TERM <br /> <br />This Agreement begins on August 9, 2023 and expires on August 9, 2025, if not terminated sooner. <br /> <br />3. HONORARIUM <br /> <br />The City shall pay Lender $1500.00 within 30 days of installation of the Work for public <br />display. <br /> <br />4. LOCATION <br /> <br />The City intends to display the Work at Evergreen Arboretum at Legion Park. The City may relocate <br />the Work at the City’s <br />cost during the Term of this Agreement. <br /> <br />5. INSTALLATION/REMOVAL <br /> <br />Installation and removal of the Work shall be performed in the manner and at the cost of the <br />Lender, described in Exhibit A. <br /> <br />6. REPRESENTATIONS/WARRANTIES <br /> <br />Lender represents and warrants: (A) that it is the sole owner of the Work; (B) that it has the <br />legal right to lend the Work to the City as provided by this Agreement; and (C) that the Work is <br />an original Work and does not infringe on another’s intellectual property rights, such as <br />copyright. <br /> <br />7. REPRODUCTION RIGHTS <br />
