228 Park Ave S, PMB 42634 New York, NY 10003 rightwayhealthcare.com Rightway Healthcare, Inc (“Provider”) Amendment to City of Everett, (“Customer”) Services Agreement This Amendment to the Services Agreement (“Amendment”) is entered into as of 11/01/2022 (“Effective Date”), by and between City of Everett, (“Customer”) and Rightway Healthcare, Inc, a Delaware Corporation (“Provider”) and is intended as an addendum to the Services Agreement entered by Customer Provider dated 08/04/2021 (the “Agreement”) NOW THEREFORE, in consideration of the representations, warranties, covenants, agreements and obligations contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Term of the Agreement: The Term of the Agreement shall be updated to a twelve (40) month term from the effective date of the original agreement. For the avoidance of doubt, the Initial term of the Agreement to end 12/31/2024 to be coterminous with Customer’s new benefits renewal as of the date of this agreement. 2. Counterparts: This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Amendment may be executed by facsimile or portable data file (PDF) signature and any such signature shall be of the same force and effect as the original IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written.
