EASEMENT <br /> Grantee is the fee owner of a certain parcel of real property legally described in Exhibit B <br /> attached hereto (the "Grantee Property"). The City hereby grants and conveys to Grantee <br /> the following non-exclusive easement (the "Easement") upon the easement area legally <br /> described in Exhibit C attached hereto (the "Easement Area") and depicted on Exhibit D <br /> attached hereto: <br /> A non-exclusive easement to use the Easement Area only for ingress and egress <br /> to the Grantee Property. <br /> 2. No Interference with the City's Use of Easement Area. The Easement entitles <br /> Grantee to use Easement Area only for the purposes expressly described herein. Grantor <br /> reserves the right to enter upon and use the Easement Area established hereby for any <br /> purpose. Grantee and its representatives, employees, agents, contractors, licensees and/or <br /> guests shall not interfere with, obstruct or endanger the City's or the public's use of the <br /> Easement Area, or in any way interfere with, obstruct or endanger the usefulness of any City <br /> infrastructure or improvements located thereon. Grantee shall be solely liable for the costs <br /> of any repairs to any of the City's infrastructure or improvements located within the Easement <br /> Area necessitated by the actions of Grantee and/or its representatives, employees, agents, <br /> contractors, licensees, invitees and/or guests. <br /> 3. No Unauthorized Improvements. Grantee shall not perform any alterations or <br /> otherwise install any improvements upon the Easement Area without obtaining prior written <br /> approval of the City. If Grantee does so perform alterations or improvements without such <br /> City approval, Grantee shall cease all such activity and remove any and all alterations and <br /> improvements installed therein immediately upon demand from the City. Furthermore, in <br /> such event, Grantee hereby authorizes the City to remove any and all alterations or <br /> improvements installed in the Easement Area at Grantee's cost, and hereby releases all claims <br /> 7 <br />
