(a) Failure on the part of the grantee,its successors or assigns,to pay to the City promptly,the full amount of any final judgment recovered against said City on account of any damage or damages suffered by any person or per- sons or to any property and arising out of the grantee's enjoyment of any of the rights and/or privileges herein granted. (b) Failure on the part of the grantee,its successors and assigns, to promptly pay on April lst,1932,and annually thereafter on April lst,during the life of this franchise,the compensation to the City herein provided for the rights and privileges herein granted to the grantee. (c) Failure on the part of the grantee,its successors and assigns, to promptly pay monthly all amounts due the City for water furnished to grantee, its successors and assigns during the life of this franchise. (d) Failure on the part of the grantee,its successors and assigns, to faithfully perform any other material thing or things required by it to perform under the terms of this franchise. Section 12. As a further consideration for the rights,powers,author- ity and privileges herein granted,the grantee covenants that it is the owner in its entirety of all the rights,powers,authority and privileges granted by the City under Ordinance No.2039 to Coast Ice & Cold Storage Co.,and under Ordinance No.2218 to Northwest Heating & Power Co., and that in consideration of the granting of this Franchise it waives and surrenders all rights,power, authority and privilege under Ordinances No.2039 and 2218 and agrees that all rights, power,authority and privileges granted under Ordinances No.2039 and 2218 shall be terminated upon the effective date of this Ordinance and agrees that upon the effective date of this Ordinance, Ordinances No.2039 and 2218 be repealed with its-consent. Section 13. In order to claim the right and benefits of this Ordi- nance, the City Steam Heating Company of Everett,a corporation,shall within thirty days after the passage thereof file in the office of the City Clerk, its acceptance in writing of the franchise granted by this Ordinance,subject to all the conditions and provisions thereof. -6-
