Data Sharing Addendum - 8 <br />6.20.23 <br />12.Term and Termination <br />This Addendum remains in effect for as long as Receiving Party has access <br />to or otherwise uses Data. This Addendum may remain in effect for a longer <br />term than the Agreement. <br />13.Monitoring <br />Receiving Party agrees that City will have the right, at any time, to monitor, <br />audit, and review activities and methods in implementing this Agreement in <br />order to assure compliance. <br />At the City’s request or in accordance with Washington OCIO Security <br />Standard, Receiving Party shall obtain third-party audits covering Data <br />Security and Permissible Use. Receiving Party may cover both the <br />Permissible Use and the Data Security Requirements under the same audit, <br />or under separate audits. <br />Receiving Party must maintain records related to compliance with this <br />Addendum for six (6) years after expiration or termination of this Addendum. <br />The City and its designee will have the right to access those records during <br />that six-year period for purposes of audit. <br />14. General Provisions <br />a.Amendments: The City Data Security Requirements (EXHIBIT A: CITY <br />DATA SECURITY REQUIREMENTS) may be modified by written <br />agreement between the Director and an authorized representative of <br />Receiving Party. All other provisions of this Addendum may be modified <br />only by a written amendment signed by the Mayor of the City and by an <br />authorized representative of Receiving Party. <br />b.Assignment: Receiving Party shall not assign this Addendum without the <br />prior written consent of the Director, which may be withheld at the <br />Director’s sole discretion. <br />c.Governing Law and Venue: This Addendum is governed by, and will be <br />construed and enforced in accordance with, the laws of the State of <br />Washington. Snohomish County Superior is the exclusive venue for any <br />lawsuit regarding this Addendum. <br />d.Waiver: Waiver of any breach or default on any occasion will not be <br />deemed to be a waiver of any subsequent breach or default. Any waiver <br />will not be construed to be a modification of the terms and conditions of <br />this Addendum. <br />e.Formal Notice: When “Formal Notice” to the City is required under this <br />Addendum, notice is only effective if in writing and the notice is delivered <br />in accordance with either of the following:
