Alternative Response Team Grant Grantee Funding Agreement <br /> <br /> <br /> <br />30. Taxes. All payments accrued on account of payroll taxes, unemployment contributions, any other taxes, <br />insurance or other expenses for the Grantee or its staff shall be the sole responsibility of the Grantee. <br /> <br />31. Technology Security Requirements. The security requirements in this document reflect the applicable <br />requirements of Standard 141.10 (https://ocio.wa.gov/policies) of the Office of the Chief Information Officer <br />for the state of Washington, which by this reference are incorporated into this agreement. <br /> <br />The Grantee acknowledges it is required to comply with WaTech Office of Chief Information Officer (OCIO) <br />IT Security Policy 141 and OCIO IT Security Standard 141.10, Securing Information Technology Assets. <br />OCIO IT Security Standard 141.10, Securing Information Technology Assets, applies to all AWC assets <br />stored as part of a service, application, data, system, portal, module, components or plug-in product(s) that <br />are secured as defined by the WaTech OCIO's IT Security Policy 141 and OCIO IT Security Standard 141.10, <br />Securing Information Technology Assets. <br /> <br />As part of OCIO IT Security Standard 141.10, a design review checklist and/or other action may be <br />required. These activities will be managed and coordinated between AWC and the Grantee. Any related <br />costs to performing these activities shall be at the expense of the Grantee. Any such activities and resulting <br />checklist and/or other products must be shared with AWC. <br /> <br />32. Termination for Convenience. Except as otherwise provided in this Grant, AWC may, by ten (10) days <br />written notice, beginning on the second day after the mailing, terminate this Grant in whole or in part. The <br />notice shall specify the date of termination and shall be conclusively deemed to have been delivered to and <br />received by the Grantee as of midnight the second day of mailing in the absence of proof of actual delivery <br />to and receipt by the Grantee. If this Grant is so terminated, AWC shall be liable only for payment required <br />under the terms of the Grant for services rendered or goods delivered prior to the effective date of termination. <br /> <br />33. Termination for Default. In the event AWC determines the Grantee has failed to comply with the conditions <br />of this Grant in a timely manner, AWC has the right to suspend or terminate this Grant. AWC shall notify the <br />Grantee in writing of the need to take corrective action. If corrective action is not taken within thirty (30) days, <br />the Grant may be terminated. AWC reserves the right to suspend all or part of the Grant, withhold further <br />payments, or prohibit the Grantee from incurring additional obligations of funds during investigation of the <br />alleged compliance breach and pending corrective action by the Grantee or a decision by AWC to terminate <br />the Contract. In the event of termination, the Grantee shall be liable for damages as authorized by law <br />including, but not limited to, any cost difference between the original Grant and the replacement or cover <br />Grant and all administrative costs directly related to the replacement Grant, e.g., cost of the competitive <br />bidding, mailing, advertising and staff time. The termination shall be deemed to be a "Termination for <br />Convenience" if it is determined that the Grantee: (1) was not in default; or (2) failure to perform was outside <br />of his or her control, fault or negligence. The rights and remedies of the AWC provided in this Grant are not <br />exclusive and are in addition to any other rights and remedies provided by law. <br /> <br />34. Termination Due to Funding Limitations or Contract Renegotiation, Suspension. In the event funding <br />from state, federal, or other sources is withdrawn, reduced, or limited in any way after the effective date of <br />this Grant and prior to normal completion of this Grant, with the notice specified below and without liability <br />for damages: <br /> <br />a. At AWC’s discretion, AWC may give written notice of intent to renegotiate the Grant under the revised <br />funding conditions. <br /> <br />b. At AWC’s discretion, AWC may give written notice to Grantee to suspend performance when AWC <br />determines there is reasonable likelihood that the funding insufficiency may be resolved in a <br />timeframe that would allow Grantee’s performance to be resumed. <br /> <br />DocuSign Envelope ID: F104B68D-4CA6-4E28-8D9B-EC70D0A7CF7B
