certain improvements to the Park Site as set forth in the Restated PDA and the Amended <br /> DA. <br /> 2. Dedication of 36th Street Corridor Parcel. The Parties acknowledge that the <br /> 36th Street Corridor Parcel has been conveyed to the City and is currently owned by the <br /> City.Neither party has any further obligations under Section 2 of the Original Amenities <br /> Agreement. <br /> 3. Dedication of Public Easement Areas. <br /> 3.1 Central Gathering Space Easement. Section 3.1 is amended to read <br /> as follows: <br /> Within fifteen (15)business days of the City's written request to OM Developer <br /> following approval of Developer's completion of construction of the amenities and <br /> improvement in the Central Gathering Space (more particularly described in the <br /> Amended Development Agreement), Developer shall execute and deliver to the <br /> City an easement in a form attached as an Exhibit to the Restated PDA,which <br /> easement shall grant,transfer and convey to the City a perpetual, non-exclusive <br /> easement in favor of the public (the "Central Gathering Space Easement") on, over, <br /> and upon a 1.5 acre portion of the Developer Property (approximately) in the <br /> general location depicted in the Amended Development Agreement(the "Central <br /> Gathering Space Easement Area"). The Central Gathering Space is intended to be <br /> integrated into the Project and shall contain amenities as more particularly <br /> described in the Amended Development Agreements all of which shall be <br /> constructed,repaired, operated and maintained at Developer's cost and expense. <br /> The form and substance of the Central Gathering Space Easement may be updated <br /> and revised by the parties prior to recording without amendment to the Revised <br /> PDA, subject to approval of such revisions by the Office of the City Attorney and <br /> by an authorized representative of Grantor. <br /> 3.2 Pedestrian Overcrossing Walkway Easement. The City has elected <br /> not to pursue the Pedestrian Overcrossing Walkway;therefore Section 3.2 of the <br /> Original Amenities Agreement is hereby deleted. <br /> 4. Dedication of Other Amenity Easements. <br /> 4.1 Public Access Trail System. Section 4.1 of the Original Amenities <br /> Agreement for the Developer Property is replaced with the following: "Portions of a <br /> public access trail system on or near the east edge of Developer Property have already been <br /> constructed and other portions of such trail system within the Eclipse Mill Park will be <br /> constructed by Developer. Developer shall grant the City an easement associated with any <br /> portion of the public access trail system located or to be located along the east edge of <br /> Developer Property in accordance with the Amended Development Agreement. The form <br /> of such easement is attached as an exhibit to the Restated PDA." <br /> 3 <br />
