Upon termina�on <br />of this Agreement, WSL, in addi�on to any other rights provided in this Agreement, may require <br />Library to deliver to WSL or to Vendor any equipment or other property furnished in connec�on <br />with the Service under this Agreement. <br /> <br />17. TERMINATION FOR CONVENIENCE. WSL may terminate this Agreement upon thirty (30) <br />calendar days’ prior writen no�ce to Library. If this Agreement is so terminated, WSL shall be <br />liable only for performance rendered or costs incurred in accordance with the terms of this <br />Agreement prior to the effec�ve date of termina�on. <br /> <br />18. TERMINATION FOR CAUSE. If, for any reason, either Party does not fulfill its obliga�ons <br />in a �mely and proper manner under this Agreement, or if either Party violates any of these terms <br />and condi�ons, the aggrieved Party may give the other Party writen no�ce of such failure or <br />viola�on, and the other Party will have the opportunity to correct the viola�on or failure within <br />fi�een (15) business days. If such failure or viola�on is not corrected within the fi�een (15)- <br />business day �me period, this Agreement may be terminated immediately by the aggrieved Party <br />upon writen no�ce to the other Party. <br /> <br />19. DISPUTES. If a dispute arises between the Par�es that cannot be resolved by the Par�es <br />themselves through direct communica�on, discussion and nego�a�on, either Party may request <br />a dispute hearing with the Office of the Secretary of State (referred to hereina�er as “Agent ”). <br /> <br /> <br />The request for a dispute hearing must: <br /> <br />• be in wri�ng; <br />• state the disputed issue(s); <br />• state the rela�ve posi�ons of the Par�es; <br />• state the reques�ng Party’s name, address, and Agreement number; and <br />• be mailed to the Agent and the respondent Party's Program Manager within three <br /> (3) business days a�er the Par�es determine that they cannot resolve the dispute <br />The respondent Party shall send a writen answer to the reques�ng Party’s statement to both the <br />Agent and the reques�ng Party within fi�een (15) business days. The Agent shall review the <br />writen statements and reply in wri�ng to both Par�es within ten (10) business days. The Agent <br />may extend this period if necessary, by no�fying the Par�es. The Par�es agree that this dispute <br />process shall precede any ac�on in a judicial or quasi-judicial tribunal. Nothing in this Agreement <br />shall be construed to limit the Par�es' choice of a mutually acceptable Alterna�ve Dispute <br />Resolu�on method in addi�on to the dispute resolu�on procedure outlined above. <br /> <br />20. GOVERNING LAW AND VENUE. This Agreement and all rights and obliga�ons of the <br />Par�es hereto shall be subject to and governed by the laws of the state of Washington and <br />Page 12 of 29
