L.Local and State Licensing. The City acknowledges that, as a national banking association, Bank is <br />from any requirement to have a state registration or local business license. 12 CFR 7.4007(c) states <br />that "[a] national bank may exercise it deposit-taking powers without regard to state law <br />limitations concerning: . . . (6) State licensing or registration requirements (except for purposes of <br />service of process)[.]" <br />M.Compliance with Federal, State and Local Laws. Bank shall comply with and obey all federal, state, <br />and local laws, regulations, and ordinances applicable to Bank in its performance of work <br />hereunder. <br />N.Complete Agreement. This Agreement, together with the Banking Services Agreements, contains <br />the complete and integrated understanding and agreement between the parties and supersedes <br />any understanding, agreement, or negotiation whether oral or written not set forth herein. <br />O.No Third-Party Rights Intended. This Agreement is not intended to create, and does not create, <br />any right in any third party. <br />P.Equal Opportunity Employer. Bank shall not discriminate against any employee, applicable or <br />employment, independent, on the basis of race, color, religion, sex, age, disability, marital state, <br />or national origin. <br />Q.Counterparts. This Agreement may be executed in any number of counterparts and by the <br />different parties hereto in separate counterparts, each of which when so executed and delivered <br />shall be an original, but all of which shall together constitute one and the same instrument. The <br />parties agree that signatures that are transmitted by facsimile or other electronic means shall be <br />binding as of the date signed and to the same extent as original signatures. The parties agree to <br />accept a digital image of this Agreement, as executed, as a true and correct original and admissible <br />as best evidence for the purpose of state law, Federal Rule of Evidence 1002, and similar statutes <br />and regulations. <br />[signature page(s) to follow]
