G-8152 <br />EXHIBIT A <br />Page 2 of 6 <br />OSOS and Sub-Grantee, and it cannot be resolved by direct negotiation, either party may <br />request a Dispute hearing with OSOS, except as otherwise provided in the Grant Agreement or <br />otherwise provided for under the terms in 45 CFR 1183.36(b)(11) or (12), or 45 CFR 1183.43. <br />(1)The request for a Dispute hearing must: <br />•be in writing; <br />•state the Disputed issue(s); <br />•state the relative positions of the parties; <br />•state Sub-Grantee’s name, address, and Agreement number; and <br />•be mailed to OSOS and the other party’s (respondent’s) Project Manager within three <br />business days after the parties agree that they cannot resolve the Dispute. <br />(2)The respondent shall send a written answer to the requester’s statement to both the agent <br />and the requester within 15 business days. <br />(3)OSOS shall review the written statements and reply in writing to both parties within 10 <br />business days. OSOS may extend this period if necessary by notifying the parties. <br />(4)The parties agree that this Dispute process shall precede any action in a judicial or quasi- <br />judicial tribunal. <br />Nothing in the Grant Agreement shall be construed to limit the parties’ choice of a mutually <br />acceptable Alternate Dispute Resolution method in addition to the procedure outlined above. <br />7.EQUIPMENT <br />Written approval from the OSOS Project Manager is needed prior to the purchase of equipment <br />for $5,000. Request for the purchase of equipment must detail the proposed expenditure and <br />the reasoning behind the purchase. <br />Sub-Grantee shall maintain property records that include a description of the property, a serial <br />number or other identification number, the source of property, who holds title, the acquisition <br />date, cost of the property, percentage of federal participation in the cost of the property, the <br />location, use and condition of the property, and any ultimate disposition data including the date <br />of disposal and sale price of the property. <br />Sub-Grantee shall also maintain a physical inventory of the property and the results reconciled <br />with the property records at least once every two years. <br />When original or replacement equipment acquired under a grant or subgrant is no longer <br />needed for the original project or program or for other activities currently or previously supported <br />by a federal agency, disposition of the equipment will be made as follows: <br />(1) Items of equipment with a current per-unit fair market value of less than $5,000 may be <br />retained, sold or otherwise disposed of with no further obligation to the awarding agency. <br />(2) Items of equipment with a current per unit fair market value in excess of $5,000 may be <br />retained or sold and the awarding agency shall have a right to an amount calculated by <br />multiplying the current market value or proceeds from sale by the awarding agency’s share of <br />the equipment. <br />8.INDEMNIFICATION <br />Sub-Grantee shall indemnify, defend, and hold harmless OSOS and all officials, agents and <br />employees of OSOS, from and against all claims for injuries or death arising out of or resulting <br />from the performance of the Grant Agreement.
