ii. there are no known liens,judgments or other title matters materially and adversely <br /> affecting Lessor's right to execute this Lease over the Property; <br /> iii. there are no covenants, easements or restrictions that prevent the use of the <br /> Premises for Lessee's Permitted Use; and <br /> iv. Lessee's use and quiet enjoyment of the Premises shall not be disturbed while <br /> Lessee is in full compliance of this Lease. <br /> b. LESSEE'S REPRESENTATIONS AND WARRANTIES. Lessee represents, warrant and <br /> convents that: <br /> i. Lessee's execution and performance of this Lease will not violate any Applicable <br /> Law in any manner materially affecting its performance of this Lease; <br /> ii. Lessee shall not permit the Property or any portion thereof to be encumbered by <br /> liens, restrictions, covenants, conditions, easements, leases, or any leases of record <br /> or not of record that would adversely affect Lessor's ownership,use, or enjoyment <br /> of the Property except as specifically provided for pursuant to this Lease; <br /> iii. Lessee has fully inspected the Property and Premises,to its satisfaction and accepts <br /> same from Lessor as-is and where is; <br /> iv. Lessee shall not cause any Hazardous Materials to be unlawfully brought onto or <br /> unlawfully stored at the Property or Premises; and <br /> v. Lessee has obtained consent from the Third Party located at the Site for Lessee to <br /> install, construct, operate, and maintain Lessee's Equipment on the Premises, and <br /> that prior to the execution of this Lease, Lessee shall provide Lessor written <br /> evidence of such consent. <br /> 31. RADIO FREQUENCY COMPLIANCE. Lessee agrees to comply with all Federal <br /> Communications Commission ("FCC") regulations for environmental safety, specifically as <br /> provided in 47 C.F.R. § 1.1307 et. seq., as may be amended or superseded. The power density <br /> within all accessible areas of the Site must not exceed the FCC specified MPE limits for the <br /> general population. If during Lessee's occupancy of the Premises mitigation is required to <br /> bring the Site into compliance with FCC's safety regulations due solely to Lessee's Equipment <br /> exceeding the FCC's exposure limits for the general population,such mitigation measures shall <br /> be the sole responsibility of Lessee and at Lessee's sole cost and expense. <br /> 32. INSPECTION AND RIGHT-OF-ENTRY. Lessor reserves the right to access the Site for <br /> purposes of inspection, operation, and maintenance of Lessor's equipment as necessary. <br /> Lessor and its agents shall have the right, but not the duty, to inspect the Site at any time to <br /> determine whether Lessee is complying with the terms of this Lease. <br /> 33. SUCCESSORS AND ASSIGNS.The respective rights and obligations provided in this Lease <br /> shall bind and continue to apply for the benefit of the Parties hereto, their legal representative, <br /> heirs, successors and permitted assigns. No rights, however, shall continue to apply for the <br /> benefit of any assignee, unless such assignment was made in accordance with Section 13 <br /> (Assignment and Subletting) of this Lease. <br /> Page 18 of 31 <br /> cW1-I 4.i9.24 <br />
