Santa Fe Dr. <br /> Littleton, CO 80120 <br /> Re: SESEA00125A <br /> (Space above for Recorder's Office) <br /> MEMORANDUM OF DISH WIRELESS COMMUNICATIONS SITE LEASE <br /> This Memorandum of Dish Wireless Communication Site Lease ("Memorandum") is <br /> made and effective as of the date the last party executes this Memorandum,by and between CITY <br /> OF EVERETT, a municipal corporation of the State of Washington ("Lessor"), and DISH <br /> Wireless L.L.C., a Colorado limited liability company ("Lessee"), having a place of business at <br /> 9601 South Meridian Boulevard, Englewood, Colorado 80112. Lessee and Lessor are at times <br /> collectively referred to hereinafter as the "Parties" or individually as the "Party". This <br /> Memorandum is summarized as follows: <br /> 1. Lessor is the owner of a certain portion of real property located at 6107 Berkshire Drive, <br /> Everett, WA 98203 being more particularly described in Exhibit A, attached hereto and <br /> made a part herein (the "Property"). <br /> 2. Lessee and Lessor entered into that certain Dish Wireless Communication Site Lease with <br /> an effective date of ,2024, (the"Lease")for the purpose of <br /> installation, use, operation, modification, repair, maintenance, and removal of a wireless <br /> communications facility on a portion of the Property as more particularly described in <br /> Exhibit B, attached hereto and made a part herein("Premises"), including certain right of <br /> ways for access and utilities as provided in the Lease. <br /> 3. The Lease has an Initial Term of five (5)years commencing on the Commencement Date, <br /> as set forth in the Lease ("Initial Term"). The Initial Term shall automatically be renewed <br /> for up to four(4) additional terms of five(5)years each unless Lessee elects not to extend <br /> the Lease in the manner as prescribed in the Lease. <br /> 4.
