5.3 Disclosure of Footage. Subject to and during the Retention Period, Flock may access, use, <br />preserve and/or disclose the Footage with prior written notice Customer to law enforcement <br />authorities, government officials, and/or third parties, if legally required to do so or if Flock has a <br />good faith belief that such access, use, preservation or disclosure is reasonably necessary to <br />comply with a legal process, enforce this Agreement, or detect, prevent or otherwise address <br />security, privacy, fraud or technical issues, or emergency situations. <br />5.4 Washington Government Transparency Laws. Regardless of anything to the contrary in <br />the Agreement, Flock and Customer agree as follows: <br /> This Agreement does not require the Customer to keep confidential or otherwise <br />refrain from disclosing anything that is determined by the City of Everett Office <br />of the City Clerk or by the City of Everett Office of the City Attorney to be <br />subject to disclosure under the Washington Public Records Act, chapter 42.56 <br />RCW. The Agreement does not require the City to give notice(s) to Flock <br />regarding such disclosure(s) or require the City to advocate in any forum that any <br />record is confidential or that any record is not subject to disclosure under the <br />Washington Public Records Act, chapter 42.56 RCW. <br /> This Agreement does not require the Customer to destroy or return anything that <br />is subject to retention requirements established by the Washington Secretary of <br />State or established by applicable law. <br /> This Agreement does not require the Customer to have any Customer employee <br />sign any agreement regarding confidentiality. <br /> This Agreement itself (and its related amendments, purchase orders, scopes of <br />work, service orders or similar documents stating work to be done for the <br />Customer or stating pricing for the Customer) are never confidential and may at <br />any time without notice be posted to the Customer’s public website. <br /> The law of the State of Washington exclusively governs this Section 5.4 and all <br />matters under this Agreement regarding confidentiality and exclusive venue for <br />all disputes regarding the same is the Superior Court of Washington in Snohomish <br />County <br /> <br />6.
