PURPOSE & DESCRIPTION: <br />The goal of the Federal Fiscal Year (FFY) 2022 State and Local Cybersecurity Grant Program (22SLCGP) is to assist state, local, and territorial <br />(SLT) governments with managing and reducing systemic cyber risk. security. Strengthening cybersecurity practices and resilience of SLT <br />governments is an important homeland security mission and the primary focus of the SLCGP. Through funding from the Infrastructure <br />Investment and Jobs Act (IIJA), also known as the Bipartisan Infrastructure Law (BIL), the SLCGP enables DHS to make targeted cybersecurity <br />investments in SLT government agencies, thus improving the security of critical infrastructure and improving the resilience of the services. <br />The Department is the Recipient and Pass-through Entity of the 22SSLCGP DHS Award Letter for Grant No. EMW-2022-CY-00017 (Grant), <br />which is incorporated in and attached hereto as Attachment C and has made a subaward of funds to the Subrecipient pursuant to this <br />Agreement. The Subrecipient is accountable to the Department for use of Federal award funds provided under this Agreement. <br />IN WITNESS WHEREOF, the Department and Subrecipient acknowledge and accept the terms of this Agreement, including all referenced attachments <br />which are hereby incorporated, and have executed this Agreement as of the date below. This Agreement Face Sheet; Special Terms & Conditions <br />(Attachment A); General Terms and Conditions (Attachment B); DHS Award Letter (Attachment C), Work Plan (Attachments D), Budget (Attachment E), <br />Timeline (Attachment F); and all other documents and attachments expressly referenced and incorporated herein contain all the terms and conditions agreed <br />upon by the parties and govern the rights and obligations of the parties to this Agreement. No other understandings, oral or otherwise, regarding the subject <br />matter of this Agreement shall be deemed to exist or to bind any of the parties. <br />In the event of an inconsistency in this Agreement, unless otherwise provided herein, the inconsistency shall be resolved by giving precedence in the following <br />order: <br />1.
