1 <br /> 2 7.2 City's Indemnification of County. The City will require consultants hired <br /> 3 by the City for Planning Study to indemnify, defend, and hold harmless <br /> 4 Snohomish County and its elected officials,employees,officers,and agents <br /> 5 with respect to work performed for this Project to the same extent that the <br /> 6 City is provided such indemnification. To the extent such indemnity by <br /> 7 consultants does not apply, the City shall indemnify, defend and hold the <br /> 8 County harmless from and against all liabilities, suits, losses, costs, <br /> 9 damages, claims, expenses, penalties or charges, including, without <br /> 10 limitation, reasonable attorneys' fees and disbursements, that the County <br /> 11 may incur or pay out by reason of: (i)any accidents, damages or injuries to <br /> 12 persons or property occurring in, on or around the project area due to or <br /> 13 arising out of the City's performance pursuant to this Agreement, but only <br /> 14 to the extent the same are caused by any negligent or wrongful act of the <br /> 15 City; or(ii) any breach or Default (as such term is defined in Section 10.1 <br /> 16 below) of the City under this Agreement. <br /> 17 <br /> 18 7.3 Waiver of Immunity Under Industrial Insurance Act. The indemnification <br /> 19 provisions of Sections 7.1 and 7.2 above are specifically intended to <br /> 20 constitute a waiver of each party's immunity under Washington's Industrial <br /> 21 Insurance Act, Title 51 RCW, as respects the other party only, and only to <br /> 22 the extent necessary to provide the indemnified party with a full and <br /> 23 complete indemnity of claims made by the indemnitor's employees. The <br /> 24 parties acknowledge that these provisions were specifically negotiated and <br /> 25 agreed upon by them. <br /> 26 <br /> 27 7.4 Survival. The provisions of this Section 7 shall survive the expiration or <br /> 28 earlier termination of this Agreement. <br /> 29 <br /> 30 8. Insurance <br /> 31 <br /> 32 8.1 Each party shall maintain its own insurance and/or self-insurance for its <br /> 33 liabilities from damage to property and/or injuries to persons arising out of <br /> 34 its activities associated with this Agreement as it deems reasonably <br /> 35 appropriate and prudent. The maintenance of, or lack thereof of insurance <br /> 36 and/or self-insurance shall not limit the liability of the indemnifying part to <br /> 37 the indemnified party(s). <br /> 38 <br /> 39 8.2 Consultants and contractors hired by the City shall name Snohomish <br /> 40 County, its elected officials,employees,officers and agents as an additional <br /> 41 insured with respect to the work performed for this Planning Study. <br /> 42 Additional insured status shall be evidenced with an additional insured <br /> 43 endorsement. <br /> 44 <br /> 45 9.
