connection with its performance under this Mitigation Agreement will remain the sole property <br /> of such party, and the other party shall have no interest therein. <br /> N. No Joint Venture. Nothing contained in this Mitigation Agreement shall be <br /> construed as creating any type or manner of partnership,joint venture or other joint enterprise <br /> between the parties. <br /> 0. Remedies. If the EHA fails to pay any SEPA Mitigation Payment properly due and <br /> owing in accordance with this Agreement and such SEPA Mitigation Payment remains unpaid <br /> more than 90 days after written notice thereof is provided by the City to the EHA, the City may: <br /> (1) institute any proceeding at law or equity, including without limitation an action to compel <br /> specific performance by the EHA of its obligations to pay SEPA Mitigation Payments hereunder, <br /> and/or (2) the City may refuse to issue Property permits and approvals (including without <br /> limitation building permits and certificates of occupancy) so long as such SEPA Mitigation <br /> Payment remains unpaid. <br /> P. No Separate Entity Necessary. The parties agree that no separate legal or <br /> administrative entities are necessary to carry out this Mitigation Agreement. <br /> Q. Signatures.
