determine the intent of the parties; if no interpretation is required, the City's <br /> enforcement authority includes, without limitation, enforcement pursuant to EMC <br /> Chapter 1.20 or successive code. <br /> G. Applicable Law. This Agreement shall be governed by and construed in accordance with <br /> the laws of the State of Washington. Exclusive venue for all disputes related to this <br /> Agreement shall be in Snohomish County,Washington. <br /> H. Counterparts;Electronic or Scanned Signatures.This Agreement may be executed in more <br /> than one counterpart, each of which shall be deemed an original, and all of which shall <br /> constitute one and the same instrument. Electronic or scanned signatures on this <br /> Agreement shall constitute original signatures of the Parties. <br /> I. Captions. The captions of this Agreement are inserted solely for the convenience of <br /> reference only and do not define, describe or limit the scope or intent of this Agreement <br /> or any term hereof. <br /> J. Exhibits. Exhibits A and B and C are incorporated herein by this reference as if set forth <br /> in full herein. <br /> K. Term. The term of this Agreement shall continue for the twenty-year Vesting Period <br /> unless extended or terminated as set forth herein. <br /> L. Nonwaiver. The failure of either party to enforce strict performance by the other party <br /> of any of the provisions of this Agreement or to exercise any rights or remedies under <br /> this Agreement shall not be construed as a waiver or relinquishment to any extent of <br /> such party's right to assert or rely upon any such provisions or rights in that or any other <br /> instance; rather,the same shall be and remain in full force and effect. <br /> M. Severability. Subject to Section 4.C.2,should any court of competent jurisdiction find <br /> any provision of this Agreement to be invalid under Chapter 36.70E or otherwise,the <br /> remainder of the Agreement shall remain in full force and effect. <br /> N. Effective Date. This Agreement will be signed by each party after the effective date of <br /> the PDO Ordinance. The effective date of this Agreement is the date of last signature <br /> below.
