City of Everett 24 Street Medicine Team Pilot Program <br />Subcontract of HCA Contract #K7759 <br />thereto and any renewals and extensions thereof. <br />4.33.3 Conquer will execute all documents and perform such other proper acts as the <br />City may deem necessary to secure for the City (or HCA) the rights pursuant to <br />this section. <br />4.33.4 Conquer will not use or in any manner disseminate any Work Product to any <br />third party, or represent in any way Conquer ownership of any Work Product, <br />without the prior written permission of the City. Conquer will take all reasonable <br />steps necessary to ensure that its agents, employees, or Conquer <br />Subcontractors will not copy or disclose, transmit or perform any Work Product <br />or any portion thereof, in any form, to any third party. <br />4.33.5 Material that is delivered under this Contract, but that does not originate <br />the City (or HCA) <br />with a nonexclusive, royalty-free, irrevocable license to publish, translate, <br />reproduce, deliver, perform, display, and dispose of such Preexisting Material, <br />and to authorize others to do so. Conquer agrees to obtain, at its own <br />expense, express written consent of the copyright holder for the inclusion of <br />Preexisting Material. The City and HCA each will have the right to modify or <br />remove any restrictive markings placed upon the Preexisting Material by <br />Conquer. <br />4.33.6 Conquer must identify all Preexisting Material when it is delivered under this <br />Contract and must advise the City of any and all known or potential infringements <br />of publicity, privacy or of intellectual property affecting any Preexisting Material <br />at the time of delivery of such Preexisting Material. Conquer must provide the <br />City with prompt written notice of each notice or claim of copyright infringement <br />or infringement of other intellectual property right worldwide received by Conquer <br />with respect to any Preexisting Material delivered under this Contract. <br />4.34 SEVERABILITY <br />If any provision of this Contract or the application thereof to any person(s) or <br />circumstances is held invalid, such invalidity will not affect the other provisions or <br />applications of this Contract that can be given effect without the invalid provision, and to <br />this end the provisions or application of this Contract are declared severable. <br />4.35 SITE SECURITY <br />While on City premises, Conquer, its agents, employees, or Conquer Subcontractors <br />must conform in all respects with physical, fire or other security policies or regulations. <br />Failure to comply with these regulations may be grounds for revoking or suspending <br />security access to these facilities. HCA reserves the right and authority to immediately <br />revoke security access to Conquer staff for any real or threatened breach of this <br />provision.
