City of Everett 26 Street Medicine Team Pilot Program <br />Subcontract of HCA Contract #K7759 <br />4.36 SUBCONTRACTING <br />4.36.1 Neither Conquer, nor any Conquer Subcontractors, may enter into Subcontracts <br />for any of the work contemplated under this Contract without prior written <br />approval of the City. The City has sole discretion to determine whether or not to <br />approve any such Conquer Subcontract. In no event will the existence of the <br />Conquer Subcontract operate to release or reduce the liability of Conquer to the <br />City for any breach in the performance of Conquer <br />4.36.2 Conquer is responsible for ensuring that all terms, conditions, assurances and <br />certifications set forth in this Contract are included in any Subcontracts. <br />4.36.3 If at any time during the progress of the work the City determines in its sole <br />judgment that any Conquer Subcontractor is incompetent or undesirable, the <br />City will notify Conquer, and Conquer must take immediate steps to terminate <br />the Conquer Subcontractor's involvement in the work. <br />4.36.4 The rejection or approval by the City of any Conquer Subcontractor or the <br />termination of a Conquer Subcontractor will not relieve Conquer of any of its <br />responsibilities under the Contract, nor be the basis for additional charges to the <br />City. <br />4.36.5 The City has no contractual obligations to any Conquer Subcontractor or <br />vendor under contract to Conquer. Conquer is fully responsible for all <br />contractual obligations, financial or otherwise, to its Conquer <br />Subcontractors. <br />4.37 SURVIVAL <br />The terms and conditions contained in this Contract that, by their sense and context, are <br />intended to survive the completion, cancellation, termination, or expiration of the Contract <br />will survive. In addition, the terms of the sections titled Covered Information Protection, <br />Conquer Conquer, Publicity, <br />Records and Documents Review, Rights in Data/Ownership, all clauses identified will <br />survive the termination of this Contract. The right of the City to recover any overpayments <br />will also survive the termination of this Contract. <br />4.38 TAXES <br />The City will pay sales or use taxes, if any, imposed on the services acquired hereunder. <br />Conquer must pay all other taxes including, but not limited to, Washington Business and <br />Occupation Tax, other taxes based on Conquer <br />property taxes levied or assessed on Conquer The is exempt from <br />property tax. <br />Conquer must complete registration with the Washington State Department of Revenue <br />and be responsible for payment of all taxes due on payments made under this Contract.
