City of Everett 29 Street Medicine Team Pilot Program <br />Subcontract of HCA Contract #K7759 <br /> <br />Subcontracts so terminated; in which case the City has the right, at its <br />discretion, to settle or pay any or all claims arising out of the termination of <br />such orders and Subcontracts; <br />D. Settle all outstanding liabilities and all claims arising out of such termination <br />of orders and Subcontracts, with the approval or ratification of the City to <br />the extent the City may require, which approval or ratification will be final for <br />all the purposes of this clause; <br />E. Transfer title to and deliver as directed by the City any property required to <br />be furnished to the City; <br />F. Complete performance of any part of the work that was not terminated by <br />the City; and <br />G. Take such action as may be necessary, or as the City may direct, for the <br />protection and preservation of the records related to this Contract that are in <br />the possession of Conquer and in which the City has or may acquire an <br />interest. <br />4.41 TRANSITION OBLIGATIONS <br /> <br />Conquer must provide for reasonable transition assistance requested by the City to allow <br />for the expired or terminated Contract, in whole or in part, to continue without interruption <br />or adverse effect, and to facilitate the orderly transfer of such services to the City or its <br />designees. Such transition assistance will be deemed by the parties to be governed by the <br />terms and conditions of this Contract, except for those terms or conditions that do not <br />reasonably apply to such transition assistance. <br />4.42 TREATMENT OF ASSETS <br /> <br />4.42.1 Ownership <br /> <br />The City shall retain title to all property furnished by the City to Conquer under <br />this Contract. Title to all property furnished by Conquer, for the cost of which <br />Conquer is entitled to reimbursement as a direct item of cost under this Contract, <br />excluding intellectual property provided by Conquer, shall pass to and vest in the <br />City upon delivery of such property by Conquer. Title to other property, the cost <br />of which is reimbursable to Conquer under this Contract, shall pass to and vest in <br />the City upon (i) issuance for use of such property in the performance of this <br />Contract, (ii) commencement of use of such property in the performance of this <br />Contract, or (iii) reimbursement of the cost thereof by the City, in whole or in part, <br />whichever occurs first. <br />4.42.2 Use of Property <br /> <br />Any property furnished to Conquer shall, unless otherwise provided herein, or <br />approved in writing by the City Contract Manager, be used only for the <br />performance of and subject to the terms of this Contract.
