Alcohol Monitoring Systems, Inc 10/17/2024 Amendment 1

Amendment 1 to Master Agency Agreement By and Between Alcohol Monitoring Systems, Inc. And City of Everett Amendment 1 is by and between Alcohol Monitoring Systems, Inc. with its primary office at 6251 Greenwood Plaza Blvd., Suite 300, Greenwood Village, CO 80111 (“AMS”) and City of Everett with its primary office at 3028 Wetmore Ave., Everett, WA 98201 ("Agency”). Agency and AMS are parties to a Master Agency Agreement, effective October 1, 2022 (the “Agreement”). Capitalized terms in this Amendment 1 have the same meaning as those in the Agreement. This Amendment is effective as of the last date signed by AMS (the “Effective Date”). WHEREAS, Agency and AMS desire to renew the Agreement. NOW THERFORE, in consideration of the above premises and the mutual promises contained herein, it is hereby agreed that the Agreement identified herein shall be modified as follows: The Agreement will be extended for an additional 12 months, from October 1, 2024 through September 30, 2025. Thereafter the Agreement will automatically renew for additional one (1) year terms (each a “Renewal Term”) unless either party provides the other with a written notice of termination thirty (30) days prior to the end of the Term. Agency may terminate the Agreement for convenience at any time upon sixty (60) days prior written notice to AMS. All other terms and conditions of the Agreement remain unchanged and in full force and effect.
