Harris Computer Corporation License Agreement Addendum This Agreement is made a part of and shall be governed by terms of the License Agreement and Supplement, dated March 24, 2003, by and between N. Harris Computer Corporation (“Cayenta”) and City of Everett. For and in consideration of the mutual covenants and agreements contained herein, the parties hereby agree as follows: CAYENTA LICENSES Description Annual Cost Each Total Annual Cost Three (3) CLUE ‘Named User’ licenses. $500.00 $1,500.00 Total $500.00 $1,500.00 2.PAYMENT SCHEDULE The cost for the support and maintenance of Cayenta Utilities is subject to annual increases per the original contract. All fees incurred pursuant to this Agreement shall be paid within thirty (30) days after the invoice date. Licensee shall pay all applicable shipping charges and taxes, exclusive of Cayenta’s income and corporate franchise taxes. Licens ee shall reimburse Cayenta for all reasonable travel and living expenses incurred by Cayenta in rendering all services. After notice, past due amounts owing from Licensee shall bear interest in accordance with the original contract. Licensee shall reimburse Cayenta for all reasonable costs incurred (including reasonable attorneys’ fees) in collecting past due amounts owed by Licensee. Licensee shall pay 100% of the total fees for Cayenta Programs upon Licensee’s execution of this Agreement and thereafter after execution of any Supplement and attached for reference at a later date as an appendix to this Agreement. All payments shall be in United States Dollars. The payment of fees for third party Programs, including maintenance and support (if any) shall be 100% upon execution of this Agreement.
