but not limited to, sales returns and allowance detail, sales journals or daily sales reports, state <br /> sales and use tax returns, depreciation, and a complete general ledger. <br /> 4.3.2 Internal Controls. Lessee shall maintain internal controls sufficient <br /> to safeguard Regional Center assets and ensure the accurate recording and reporting of all Lessee <br /> revenues and expenditures. <br /> 4.3.3 Audits. Lessor and its agents and employees shall have the right at <br /> any and all times, during regular business hours, to examine and inspect all of the books and <br /> records of Lessee. If the statement of Cash Flow after Permitted Debt Service previously made <br /> to Lessor shall be found to be inaccurate, then and in that event there shall be an adjustment, and <br /> one party shall pay to the other on demand such sums as may be necessary to settle in full the <br /> accurate amount of said Rent that should have been paid for the period or periods covered by <br /> such inaccurate statement or statements. Lessee shall keep all said records for five (5) years. If <br /> an audit discloses an inaccuracy in favor of Lessee of greater than a two percent (2%) error with <br /> respect to the amount of Cash Flow after Permitted Debt Service reported by Lessee for the <br /> period of said report, then Lessee shall immediately pay to Lessor the cost of such audit; <br /> otherwise, the cost of such audit shall be paid by Lessor. <br /> 4.3.4 Projected Cash Flow after Permitted Debt Service. Any time, <br /> beginning with the date of the first Rent payment due hereunder, that there is no net cash flow <br /> for Rent purposes, the Lessor may exercise its rights to joint management authority as provided <br /> for herein. <br /> Section 4.4 Place of Payment. Rent shall be payable to Lessor at the original or <br /> changed address of Lessor as provided for in Article 14 hereof or to such other person at such <br /> address as Lessor may designate from time to time in writing. <br /> Section 4.5 Rent Deferral. If at the time Rent is due and payable hereunder, <br /> payments currently due under the Permitted Debt have not been paid,payments of Rent <br /> hereunder shall, at the option of Lessee but subject to the terms and conditions set forth herein be <br /> deferred and paid to Lessor at such time as Lessee has made all such payments on the Permitted <br /> Debt. Rent, with interest thereon at a rate equal to the Applicable Rate, however, shall continue <br /> to accrue until the Rent has been paid in full. <br /> Section 4.6 Use of Suite. Lessee agrees to provide Lessor with periodic access to a <br /> Suite in the Regional Center over the Lease Term for lawful use, without charge and at mutually <br /> agreed times,provided Lessor gives reasonable advance request for its use. <br /> ARTICLE 5 <br /> IMPOSITIONS AND OPERATING EXPENSES <br /> Section 5.1 Definition of Impositions. The term"Impositions" shall mean all real <br /> estate taxes, water and sewer charges, charges for public utilities, local improvement or special <br /> benefit district assessments, license and permit fees, or other charges which shall or may during <br /> the Lease Term be assessed, levied, charged, confirmed or imposed by any public authority upon <br /> 6 <br /> GROUND LEASE COE--EPFD <br />
