Exhibit A <br />HCS-24-66-2440-198 <br />City of Everett <br />Page 15 of 15 <br />reasonably determines has not been adequately protected by the Agency <br />against unauthorized disclosure. <br /> <br />C. Unauthorized Use or Disclosure. The Agency shall notify the County within five <br />(5) working days of any unauthorized use or disclosure of any confidential <br />information, and shall take necessary steps to mitigate the harmful effects of <br />such use or disclosure. <br /> <br />XXIV. AFTER-THE-AGREEMENT REQUIREMENTS <br /> <br />The Agency’s obligation to the County shall not end until all close-out requirements <br />are completed. Activities during this close-out period shall include, but are not <br />limited to: making final payments, disposing of program assets (including the return <br />of all unused materials, equipment, unspent cash advances, program income <br />balances, and accounts receivable to the County), and determining the <br />custodianship of records. Notwithstanding the foregoing, the terms of this Contract <br />shall remain in effect during any period that the Agency has control over SDG <br />funds, including program income. The County will close-out the award when it <br />determines, in its sole discretion, that all applicable administrative actions and all <br />required work of the grant have been completed. <br /> <br />XXV. CONFORMANCE <br /> <br />If any provision of this Contract violates any statute or rule of law of the state of <br />Washington, it is considered modified to conform to that statute or rule of law. <br /> <br />XXVI. TAXES <br /> <br />All payments accrued on account of payroll taxes, unemployment contributions, <br />the Agency’s income or gross receipts, any other taxes, insurance, or expenses <br />for the Agency or its staff shall be the sole responsibility of the Agency. <br /> <br />XXVII. FRAUD AND OTHER LOSS REPORTING <br /> <br />The Agency shall report in writing to the County all known or suspected fraud or <br />other loss of any funds or other property furnished under this Contract immediately <br />or as soon as practicable. <br />
