<br />EXHIBIT A <br />AMENDMENT NO. 1 <br />PROFESSIONAL SERVICES AGREEMENT <br />(SCOPE OF WORK) <br />SOJ will provide project management services for the Everett Outdoor Multipurpose Stadium <br />Project, as directed by the City of Everett (City) and as described below. <br />Design and Permitting Phase of the Project (2025) <br />SOJ will manage, coordinate and assist the City with development of the Project, including the <br />following tasks: <br />• Procurement of and contract negotiations with the Progressive Design-Build (PDB) <br />team with the City and their legal counsel <br />• Negotiations with private partners, including the Everett AquaSox and United <br />Soccer League (USL), with the City and their legal counsel <br />• Development of project scope with the PDB team, the City and their partners/tenants <br />• Development of funding plans/financial plans for construction and long-term <br />operations with the City and their financial partners <br />• Site assembly and acquisition of real property with the City and their legal counsel <br />• Development and tracking of project schedule with the PDB team <br />• Development and tracking of project budget with the City <br />• Development of design deliverables including Concept Design and Program, Schematic <br />Design, Design Development, Construction Documents and cost estimates by the PDB <br />team <br />• Stakeholder engagement plan with the City <br />• Permitting strategy and implementation with the PDB team <br />• The City and Project Manager may add/modify scope and tasks as needed <br />Construction of the Project is anticipated to commence in 2026 and be completed in 2027.
