Those attachments incorporated by reference herein, including the statement of work/project <br />description, approved HUD grant budget, in the order in which attached, and <br /> <br />4. Any other provisions whether incorporated by reference herein or otherwise provided that <br />nothing herein shall be construed as giving preference to provisions of this Agreement/grant <br />award over any provisions of law. <br /> <br />XXII. Venue Stipulation <br /> <br />This Agreement has been and shall be construed as having been entered into and delivered within <br />the State of Washington, and it is mutually understood and agreed by each party hereto that this <br />Agreement shall be governed by laws of the State of Washington, both as to interpretation and <br />performance. <br /> <br />Any action at law, suit in equity, or judicial proceeding for the enforcement of this Agreement or <br />any provisions thereof shall be instituted and maintained only in any of the courts of competent <br />jurisdiction at Everett in Snohomish County, Washington. <br /> <br />XXIII. Severability <br /> <br />It is understood and agreed by the parties hereto that if any part, term, or provision of this <br />Agreement is held by the courts to be illegal, the validity of the remaining provisions shall not be <br />affected; and the rights and obligations of the parties shall be construed and enforced as if the <br />Agreement did not contain the particular provision held to be invalid. <br /> <br />If it should appear that any provision hereof is in conflict with any statutory provision of the United <br />States or the State of Washington, said provision which may conflict, therewith, and shall be deemed <br />modified to conform to such statutory provision. <br /> <br />XXIV. Open Public Board Meetings <br /> <br />All Board meetings of the Subrecipient in which a quorum of the board is present shall be open and <br />all interested persons shall be permitted to attend. This does not include parts of meetings which <br />deal with issues concerning matters including personnel, legal and property. Board meetings will be <br />held at regularly scheduled times as determined by the Board. <br /> <br />XXV. Board Membership <br /> <br />The following information about the organization's Board of Directors/Trustees will be made <br />available in a timely manner to those who request such information: (1) Name of Board Members; <br />(2) Terms of appointment; and (3) the procedure for selection of Board Membership. Every effort <br />will be made by the contracting agency to have local representation on their board. <br /> <br /> <br />
