Terms&Conditions 1.This quotation becomes invalid if not accepted by the buyer within thirty(30)days of the quotation date. 2.Payment terms:Standard terms are 1%10 days, Net 45 days,no retainage allowed;subject to a finance charge of 2%per month on all past due amounts.All orders are subject to approval of credit by the corporate office. 3.We must have all necessary shipping information and authority to ship materials within 90 days after our acceptance of the order,or we reserve the right to invoice materials at prevailing prices at time shipment is made. 4.No sales or other taxes levied by any state or other taxing agencies are included. Sales Tax or VAT,as applicable,will be collected for every invoice unless a valid Tax Exempt Certificate is furnished by the customer. 5.Agreements made by sales representatives are subject to approval by the company and are not binding until accepted in writing by an officer of INNOVATIVE METALS COMPANY,INC. 6.Typographical and facsimile transmission errors are subject to correction. 7.Unless otherwise noted,quotations do not include installation of any materials. 8.Shipment promises are our best estimates and are contingent upon availability of necessary material and such promises are based upon the date on which we receive approved shop drawings together with all necessary field dimensions and release for fabrication. 9.There shall be no liability on our part for any delay in manufacturing or delivery of material. 10.Shipments are F.O.B.shipping point and customer is responsible for inspection of materials upon delivery,and should be there be any shipping damage,customer should be prepared to negotiate damage settlements with the carrier. 11.Should the Customer find it necessary to cancel an order that has been placed with IMETCO,there will be a cancellation charge of 10%or an amount equal to the work accomplished at the time of cancellation,whichever is greater.This cancellation charge will also include any charge imposed on IMETCO by our vendors for nonstock material. 12.Oil canning is typical of light gauge metal panels.It has no effect on panel performance and will not be considered as a cause for rejection. 13.Freight quotes are subject to escalation based on rates in effect at the time of shipment. 14.In order for materials to be accepted upon return,they must be in resalable condition:able to be redelivered and utilized for another order.In order to avoid possible disposal fees or additional freight costs,material that is not in resalable condition should not be returned.The customer is responsible for return freight costs as well as a 15%restock fee on all materials.All materials made special are non-returnable. 15.For natural materials(e.g.Copper,Zinc,Galvalume,Bare Metal)no material finish warranty is offered or implied. 16.Escalation Policy:Project pricing is set upon receipt of a shop drawing request,properly issued purchase order,or an executed coil order form within the period stated on this quote. If one of these documents is not submitted within that period,future pricing can be estimated as follows: -Add 10%to the panel and flat sheet pricing up to 30 days past the Valid Thru date stated. -For pricing beyond 30 days past the Valid Thru date(more than 60 days past the Issued date),please request specific pricing.
