HMA TPA Agreement Page 1 4/22 <br />ADMINISTRATIVE SERVICES AGREEMENT <br />DATE: August 20, 2024 <br />PARTIES: City of Everett <br />2930 Wetmore Ave, Suite 5-A <br />Everett, WA 98201 <br />the “Plan Sponsor” <br />Healthcare Management Administrators, Inc. <br />10700 Northup Way, Suite 100 <br />Bellevue, WA 98004 <br />“HMA” <br />Effective Date: January 1, 2025 <br />Recitals: <br />A.Plan Sponsor has established a self-insured Employee Welfare Benefit Plan (the “Plan”), as <br />defined in the Employee Retirement Income Security Act of 1974 (“ERISA”), as amended, <br />for the purpose of providing certain benefits to its eligible employees and their dependents <br />(“Participants”); <br />B.Plan Sponsor desires to retain HMA to furnish claims processing and other ministerial <br />services with respect to the Plan; and <br />C.HMA is willing to furnish such services, based upon the terms and conditions set forth in <br />this Administrative Services Agreement (the “Agreement”). <br />NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, and <br />other good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, and intending to be legally bound hereby, Plan Sponsor and HMA agree as follows: <br />Agreement: <br />1.Definitions. As used in this Agreement, the following terms shall have the following <br />meanings: <br />(a)“Effective Date” means the day and year set forth above, which shall be the date <br />this Agreement becomes effective. <br />(b)“ERISA” means the Employee Retirement Income Security Act of 1974, as <br />amended. <br />(c)“Participants” means those employees of the Plan Sponsor, and their dependents, <br />or other individuals who have met the eligibility requirements of the Plan, have <br />satisfied all other conditions to participation in the Plan, and are properly enrolled <br />in and eligible for benefits under the Plan. <br />(d)“Plan Administrator” means the person or organization responsible for the <br />functions and management of the Plan. The Plan Administrator may employ <br />persons or firms to process claims and perform other Plan-connected services. If
